A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, APPROVING AND RATIFYING THE
TERMINATION OF THE LEASE AGREEMENT WITH PAARIS GOURMET, INC.
(D/B/A C'EST SI BON) TO CONDUCT FOOD AND BEVERAGE OPERATIONS
AT THE NORTH PALM BEACH COUNTRY CLUB; AUTHORIZING AND
DIRECTING THE VILLAGE MANAGER TO DO ALL THINGS NECESSARY
TO ASSUME RESPONSIBILITY OVER FOOD AND BEVERAGE OPERATIONS;
PROVIDING FOR EXPENDITURES RELATING TO THE OPERATION OF
THE COUNTRY CLUB; PROVIDING FOR CONFLICTS; AND PROVIDING
FOR AN EFFECTIVE DATE.
WHEREAS, through the adoption of Resolution 2010-14 on March 11, 2010, the Village Council
approved a Lease Agreement with Paaris Gourmet, Inc. d/b/a C'est Si Bon ("CSB") to Conduct
Food and Beverage Operations at the North Palm Beach Country Club ("Lease Agreement"); and
WHEREAS, due to CSB's material breach of the terms of the Lease Agreement, including, but
not limited to, CSB's failure to remit the required security deposit and performance bond after
notification of same, the Village Administration formally terminated the Lease Agreement on
Apri127, 2010, thereby retaking control over the Country Club facilities and terminating CSB's
right to possession; and
WHEREAS, the Village Council wishes to formally approve and ratify the termination of the
Lease Agreement, authorize the Village Manager to assume responsibility over the food and
beverage operations at the North Palm Beach Country Club, and provide a funding mechanism
for same; and
WHEREAS, the Village Council determines that the adoption of this Resolution is in the best
interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are hereby ratified and incorporated herein.
Section 2. The Village Council of the Village of North Palm Beach, Florida, hereby approves
and ratifies the termination of the Lease Agreement with Paaris Gourmet, Inc. d/b/a C'est Si Bon.
Section 3. The Village Council hereby authorizes and directs the Village Manager to assume
responsibility over food and beverage operations at the North Palm Beach County Club and to
take all actions necessary to conduct such operations including, but not limited to: obtaining the
required approvals from all county and state agencies; applying for and obtaining an alcoholic
beverage license; and retaining the necessary personnel.

ection 4. The Village Council further authorizes expenditures from the Country Club
• Contingency Account to fund the necessary start up costs relating to food and beverage
operations at the Country Club. The Council will approve any necessary amendments to the
approved budget for the Country Club at the end of the fiscal yeaz.
Section 5. All resolutions, or parts of resolutions, in conflict herewith are hereby repealed to
the extent of such conflict.
Section 6. This Resolution shall take effect immediately upon adoption.
