' AN ORDINANCE OF THE VILLAGE OF NORTH PALM BEACH AMENDING ORDINANCE N0. 91 CREATING A
BOARD OF GOVERNORS FOR THE NORTH PALM BEACH COUNTRY CLUB BY AMENDING THE POWERS AND DUTIES OF
THC MEMBERS OF THE BOARD AND SETTING FORTH ADDITIONAL GROUNDS FOR REMOVAL FROM OFFICE,

BE IT ORDAINED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA, that:
Section 1. Section 7 of 'Ordinance no. 91 be and the same is hereby amended to read
as follows:
Section 7. Powers. Duties, and F unctions of the Board of Governors.
The Hoard of Governors shall have the right, power, and authority, and it shall be
the duty of the Board of Governors to exercise full supervision, control and management over
the North Palm Beach Country Club which shall include the dining £acilities, swimming facilities,
and golf course and pro shop operation; except as modified herein. It shall prescribe reason-
able rules and regulations for the conduct and operation of the North Palm Beach Country Club,
and the use of its facilities by its members and the general public and shall incorporate these
rules and regulations in a written document and present same to the Village Covneil. No such
rules or regulations shall be effective until approved by Resolution of the Village Council
' and any amendments thereto shall likewise be approved before they are effective, and the
Board shall issue membership cards entitling qualified persons to whom they are issued to use
the facilities of the North Palm Beach Country Club, subject to such rules and regulations.
The Board of Governors shall employ a Country Club Manager who will be the chief administrative
officer of the Country Club. The Manager shall be employed on the basis of his executive and
administrative qualifications with special reference to his actual experience in or his knowl-
edge of accepted practice in respect to the duties of his position. The Country Club Manager
may hire such employees at such salaries or for such remuneration as in his opinion shall be
necessary and proper for the efficient management and operation of the North Palm Beach Country
• Club, subject to the supervision of the Hoard of Governors, provided however, no payment for
salaries or remuneration shall exceed the current budget appropriation of the Village Council.
The Country Club Manager shall supervise the purchase of all materials, supplies, and equip=
' ment for which funds are provided in the Country Club budget; let contracts necessary for the
operation or maintenance of Country Club services for amounts up to and induding ~SDD.DD,
receive bids for purchases in excess of $500.00 No contract in excess of X1,000.00 and no
contract for new construction shall be let except by the Village Council. All purchases in
excess of X1,000.00 shall be upon bid presented to the Board of Governors for its approval
' and the Board of Governors shall thereafter advise the Village Council on the advantages or
disadvantages of the bid propos§i.s.. No purchase shall be made, contract let, or obligation
incurred for any item or services which exceeds the current budget appropriation without a
transfer of budgeted frmds from one item to another being first approved by the Board of
Governors.

It shall; also have the right, power and authority to fix and prescribe the membership,
' greens and clubhouse fees to be charged for such facilities, and for any and all concessions
in connection therewith; provided, however, that before any such £ees are set or changed,
written notice thereof shall be given to the Village Council which shall have the power to veto
such rates or changes in rate by resolution to that effect within ten days from receipt of

Beach Country Club, and its facilities, and shall attempt, as far as possible and practicable,
to thereby provide sufficient funds for such purposes. The Board of Governors shall have
full supervision of and responsibility for collection and expenditure of funds derived from

the operation of the North Palm Beach Country Club, except as restricted by the Village Charter
and Ordinance No. 69 of the Village of North Palm Beach, The Board of Governors+ Treasurer or
Country Club Manager may sign checks for the payment of expense of the Country Club in avg
amount less than X500.00 for any single expense, provided that all such checks, warrants and
vouchers must be countersigned by a member of the Board of Governors; and provided further
that any expenses in excess of X500.00 shall be paid by check to be signed by the Board of
Governors+ Treasurer, Country Club Manager, or other designated member of the Board, and said
check must be countersigned by the Village Treasurer. The Board shall keep its own records
' and accounts for that purpose or it may make suitable arrangements with the Village Finance
Department as approved by the Village Manager. Any excess or surplus funds shall be transferred
to the Treasurer of the Village of North Palm Beach, in accordance with Ordinance No. 69, for
deposit in the Villagers General Operating Fund, or Debt Service Account.
Section 2. The first sentence of Section 9 Of Ordinance No. 91 be and the same is
hereby amended to read as follows:
"Any member of the Board of Governors may be removed from his office for malfeasance,
misfeasance, nonfeasance, conflict of interest, or neglect of duty, or for his failure to
• retain and possess the qualifications for such office specified in Section 2 of Ordinance No. 91.u
Section 3. Ordinance No. 99 be, and the same is hereby, repealed.
