Ordinance 091 CClub Board of Governors - Created ORDINANCE N0. 91 AN ORDINANCE OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA, CREATING THE NORTH PALM HEACH COUNTRY CLUB HOARD OF GOVERNORS; PROVIDING FOR THE APPOINTMENT AND QUALIFICAv TION OF THE MEMBERS THEREOF; IN CONFLICT; AND FOR OTHER PURPOSES. BE IT ORDAINED bg the Village Council of North Palm Beach, Florida. ITS POWERS, DUTIES, AND FUNCTIONS; REPEALING ORDINANCES ~ ~ ~ ~ Section 1. Ordinances in Conflict Revealed: Ordinance No. 79, enacted May 14, 1963, is hereby repealed and the Board therein set up is hereby abolished: provided, however, that Ordinance No. 72, which was repealed by Ordinance No. 79, is also hereby repealed; and the words "Golf Professional°;'Golf Course Superintendent", and t1Pool Manager", as set forth in sub-section nAu of Section 4 of Ordinance No. S1, are hereby repealed. Section 2. Creation of North Palm Beach Country Club Board Of Governors. Qualifications, Tenure• A. There is hereby created and established a Board of Governors for the North Palm i Beach Country Club which is wholly owned by the Village of North Palm Beach in Palm Beach County, Florida, to be known and designated as the North Palm Beach Country Club Board of Governors, to be referred to herein as the Board of Governors. B. Said Board of Governors shall be composed of five (5) members, who, in order to qualify for such position a) Must be a resident freeholder of the Village of North Palm Beach, Palm Beach County, Florida, over 21 years of age, who is not either an official, officer, or employee of said Village; b) Must hold an annual membership card entitling such person to the privileges of the North Palm Beach Country Club Golf Course and Dining Room, or Swimming Pool and Dining Room; and must have held such membership for a period of at least six (6) months prior to his appointment. C. All five (5) members of the Board of Governors shall be appointed by the Village Council zsf the Village of North Palm Beach for a term of two years from date of appointment with three (3) members terms expiring in the odd numbered years and two (2} members terms expiring in the even numbered years; except for the first appointed Board which shall have three (3) members! terms expire in 1965 and two (2) members terms expire in 1966. IIpon the death, resig- nation, removal, or failure o£ any member of the Board of Governors to maintain the above mentioned qualifications for such office, the Village Council will appoint a qualified successor to serve the remainder of the term of that particular member. Any member of the Board o£ Governors may be removed by a majority o£ the Village Council for malfeasance, misfeasance, or neglect of duty, or because of his disqualification, as hereinafter provided for in Section 9 of this Ordinance. • ORDINANCE N0, 91. Paae 2. Section 3.' Appointment of Members, ' At the first regular meeting of the Village Council in June of each year, the Village Council will appoint by Resolution the proper number of members to the Board of Governors under the terms and conditions of this Ordinance. The following people are hereby appointed to the Board of Governors with terms to expire as noted: Dean Maurer June, 1965 -- ' Keith Nichols June, 1965 Dr. John Richardson Tune, 1965 -- John A. Schwencke June, 1966 Hurley Hankey June, 1966 • Section 4. Service Without Com pensation. Each member of the Board of Governors shall serve without compensation, and shall not be, directly or indirectly, interested in the profits derived from the operation of the North Palm Beach Country Club. Section 5. Oath of Office. Etc. Each member of the Board of Governors shall, before entering upon the discharge.of his duties, make and file with the Village Clerk, his oath in writing, to faithfully and properly perform the ' Section 6. Oreanization of the Board of Governors. they can conveniently do so, the Board, set forth in Section 3 hereof, and chosen annually thereafter, shall meet and elect from among its members :hairman, who shall hold office for terms of one (1) year thereafter, or until their successors are elected. Said Board shall also elect a Secretary and a Treasurer, who may, but need not be, one and the same person. Section 7. Powers Duties and Functions of the Board of Governors. The Board of Governors shall have the right, power and authority, and it shall be the duty of the Board of Governors to exercise full supervision, control and management over the North Palm Beach Country Club which shall include the dining facilities, swimming facilities, and golf course and pro shop operations, except as modified herein. It shall prescribe reasonable rules and regulations for the conduct and operation of the North Palm Beach Country ' Club, and the use of its facilities by its members, and shall issue annual membership cards entitling qualified persons to whom they are issued to use the £acilities of the North Palm Beach Country Club, subject to such rules and regulations. The Board of Governors shall employ a Country Club Manager who will be the chief administrative officer of the Country Club. The Country Club Manager shall be employed on the basis of his executive and administrative quali- ' fications with special reference to his actual experience in or his knowledge of accepted practice in respect to the duties of his position. ORDINANCE N0, 91 Pa e The Country Club Manager may hire such employees at such salaries or for such remuneration as ' in his ipinion shall be necessary and proper for the efficient management and operation of the provided ervision of the Board of Governors t th su b b t t h C t Cl N th P l B , p , su jec o e a eac oun ry u or m however, no payment for salaries or remuneration shall exceed the current budget appropriation of the Vi17.age Council without a supplemental appropriation being made by the Village Council, The Country Club Manager shall supervise the purchase o£ all materials, supplies, and equip- ' ment for which funds are provided in the Country Club budget; let contracts necessary for the operation or maintenance of Country Club services for amounts up to and including X300., receive bids for purchases in excess of $500. No contract in excess of X1,000. and no contract for new construction shall be let except by the Village Council, All purchases in excess of X1,000. shall be upon bid presented to the Board of Governors for its approval and the Board of Governors shall thereafter advise the Village Caxncil on the advantages or disadvantages of the bid proposals, No purchase shall be made, contract let, or obligation incurred for any- item or services which exceeds the current budget appropriation without a transfer of budgeted funds from one item to another being first approved by the Board of Governors. It shall also have the right, power and dut}iarS.ty to £ia and prescribe the membership, greens and clubhouse fees .to be charged for such facilities, and for any and all concessions in connection therewith. In fixing and determining the amount o£ such fees, costs and charges and the sale o£ concessions, the Board of Governors shall take into consideration, the costs ' of the operation, maintenance and development of the North Palm Beach Country Club, and its facilities, and shall attempt, as far as possible and practicable, to thereby provide sufficient funds for such purposes. The Board o£ Governors shall have full supervision o£ and responsibility for collection and expenditure of funds derived from the operation o£ the North Palm Beach Country Club, except as restricted by the Village Charter and Ordinance No. 69 of the Village o£ North Palm Beach. The Board of Governors Treasurer, Country Club Manager or other designated member of the Board may sign checks for the payment o£ expense o£ the Country Club provided that all such checks, warrants and vouchers MUST be countersigned by the Village Treasurer. The Board shall keep its own records and accounts for that purpose or it may make suitable arrangements with the Village Finance Department as approved by the Village Manager. Any excess or surplus funds shall be transferred to the Treasurer of the Village of North Palm Beach, in accordance with Ordinance No. 69, for deposit in the Villages General Operating Fund, or Debt Service ' Account, Section 8. Fiscal Year, Budgets and Audits: The fiscal year to be used by the North Palm Beach Country Club Board o£ Governors in the operation of the North Palm Beach Country Club shall be the same as that of the Village, ' 1 viz: November 1st of one year to October 31st of the next succeeding year. On or before August 1st of each year, the Board of Governors shall deliver to the Village Manager, its estimate of receipts and expenditures for the next ensuing fiscal year, statement o£ the amount of supplies and materials on hand at the ds+re of the preparation of said estimate, statement • ORDINANCE N0. 91, Pa e of current fiscal position, and such other information as may be required by the Village ' Council or the Village Manager, all as provided for by the Charter of said Village and Ordinance No. 69. Such financial statements, audits and reports shall be made by the~Board of Governors from time to time, as may be requested by said Village Manager, but in no event less of ten than every three months, The quarterly audit shall attempt to inform the Village Council of the financial condition of the Country Club in sufficient detail for them tc be ' fully informed of its fiscal operation. The Village Council in its Annual Budget may approp- riate such additional Funds from the General Fund of the Village as in its sole discretion shall be necessary and proper for payment to the Board of Governors in its operation_of the Country Club; if the estimates of income and expense, submitted as set forth above, indicate • an operating deficit for the Country Club. The Board of Governors shall have no authority or power to obligate the Village of North Palm Beach for any moneys in excess of that budgeted for this purpose by the Village Council, and the Village shall be under no duty or obligation to expend any moneys in excess of the budget amount. Section 9. Removal of Members of North Palm Beach Country Club Board of Governors. Any member of the Board of Governors may be removed from his office for malfeasance or misfeasance, or neglect of duty, or for his failure to retain and possess the qualifica- tions for such office specified in Section 2 of this Ordinance. Such removal shall occur only ' after a hearing before s&id Village Council upon written charges made against such member of the Board of Governors, which written charges shall be filed in the office of the Village Clerk. A copy of such written charges and notice of the time and place of said hearing shall be served upon or delivered to the member of the Board of Governors sought to be removed at least five (5) days prior to the date of said hearing, at which any person interested in the result thereof may offer such evidence for or against the member of the Board of Governors so charged and sought to be removed. If, after such hearing a majority of the members of the Village Council shall determine, in the exercise of their reasonable discretion and judgement, that the charges are true, the member of the Board of Governors so charged shall be removed from office, and a successor appointed as hereinabove provided for in Section 2 of this Ordin- ance. Section 10. Effective Date: ' This ordinance shall become effective in accordance with the provisions of the Charter of said Village in such cases made and provided.
