Section 2. 7'he Mayor and Village Clerk are hereby authorized and directed to execute the agreement with BEA ]nternational, set forth in Exhibit "A" for and on behalf of the Village of Norih 1'ahn Bcach. Larry Levis, AIA Paul Martinez, PE Bruno-Elias Ramos, AIA Re: "Village of North Palm Beach /Village Hall Complex Master Plan" Dear Tom: BEA International, Inc. is pleased to provide this Letter of Agreement to the Village of North Palm Beach (the Village). The Client desires to retain BEA International to provide site planning services for the Village of North Palm Beach Village Hall Complex. All services shall be provided based on the terms and conditions detailed herein and the attached Hourly Rate Schedule. 1.0 PROJECT DESCRIPTION 1.1 The Village wishes to prepare a Master Site Plan for the Village Hall Complex, including analyzing existing facilities; the feasibility of acquiring adjacent land; consulting with administration, staff and facility users; developing goals and objectives; developing and presenting alternative recommendations for building and site usage and design; providing a cost estimate of proposed improvements; and conducting recommendations far approval. • 1.2 The boundary for the area to be master planned is as follows: a. Village property line to the North. 1.3 The Village will provide any needed information regarding infrastructure design (stormwater, electrical, etc.) and costs. 1.4 The final product for this phase of work will include a colored, illustrative Master Site Plan for the Village Hall Complex showing proposed site development including building locations, parking layout, vehicular and pedestrian circulation, stormwater treatment areas, plazas and open space, and landscape areas; up to three perspective sketches illustrating the proposed character of the development; and a construction cost estimate fior the proposed improvements. 1.5 No construction budget or design schedule have been established for the development of the Village Hall Complex. 2.0 SCOPE OF SERVICES BEA International shall complete the following tasks: PART I -MASTER PLAN 2.1 Project Objectives -Attend up to a total of three (3) meetings with the Village Manager, members of the Village Council, Library staff, Recreation staff and/or others to gain an understanding of project needs and objectives. BEA will coordinate all meetings, and prepare asummary/developmen4 program based those discussions. 2.2 Base Map - Prepare a base map for the site utilizing existing digital files provided by the Village. The Village will inform BEA of any possible expansion areas to be included on the base map or master plan area. 2.3 Development Plan -Prepare and submit a written list of objectives, and a proposed Site Development Program, for review and approval of the Village prior to proceeding with design concepts. BEA will attend a maximum of three meetings with Village staff, Planning Commission, Library Board and Village Council, if required, to build consensus regarding the proposed Program. • 2.4 Alternative Site Plan Concepts -Prepare and submit up to three (3) alternative Site Plan Concepts, based on the development program. These shall be "bubble diagrams" showing proposed land uses, pedestrian/vehicular circulation and interrelationships based on the approved Site Development • Program. 2.5 Review Meetings -Attend up to three (3) meetings with Village staff, Planning Commission, Library Board and/or Village Council to review and discuss the Site Plan Concepts and to determine a direction in which to proceed. 2.6 Preliminary Master Site Plan - Prepare a Preliminary Master Site Plan and up to three (3) character sketches based on the direction received from the review meetings. 2.7 Cost Estimate -BEA will prepare a conceptual construction cost estimate that will include building and site infrastructure costs for the final approved design scheme. 2.8 Review Meetings -Attend up to three (3) meetings with Village staff, Planning Commission, Library Board and/or Village Council to review and discuss the Preliminary Master Site Plan, character sketches and construction cost estimate. 2.9 Final Master Site Plan -Prepare and submit a final Master Site Plan, based on the direction received from the review meetings. 2.10 Revisions -Revise the final Plan one (1) time, if necessary, and submit a colored presentation board to BEA for presentation purposes. 2.11 Final Presentation -Attend one (1) presentation of the final Plan to the Village Council. 2.12 Project Management- BEA will serve as the overall project coordinator. In that role, BEA will schedule the work being performed by the Village, Bf_:A and BEA's subconsultants in order to improve the timeliness and accuracy of the design product. PART II -ADDITIONAL SERVICES 2.13 Additional Services -BEA will provide Additional Services as mutually agreed upon between BEA and the Village. These may include, but are not limited to: • • Preparation of additional design concepts, character sketches or construction cost estimates • Attendance at additional meetings beyond the total number of meeting listed in paragraphs 2.1, 2.3, 2.5 and 2.8 • Preparation of schematic design, design development and/or construction documents Bidding and construction phase services 3.0 PROJECT SCHEDULE BEA is prepared to begin work on the project immediately upon receipt of this executed Letter of Agreement. BEA shall perform its work in such a mannor as to comply with an agreed upon schedule to be determined. Not including the time needed for review and approval of interim submittals, BEA will conclude the basic scope of work outlined herein within 120 calendar days. 4.0 ASSIGNED PERSONNEL Timothy F. Hullihan, AIA -Project Manager/Sr. Architect 5.0 COMPENSATION 5.1 The fee for Part I, Master Plan, shall be a lump sum fee of thirty-four thousand eight hundred and eighty dollars ($34,880), plus all out-of-pocket expenses for reproduction and telecommunications. Invoicing will be based on the monthly estimated percentage of completion for each task identified in Article 2. No percentage of fees will be held back in the form of "retainage" on tasks 2.1 through 2.8 and tasks 2.10 through 2.12. However, the entire invoiced amount of task 2.9 will be retained until the Village Council is satisfied with its completion. Attachment B identifies the lump sum fee for each of these tasks. 5.2 The fee for Part II, Additional Services, shall be billed using the attached Hourly Rate Schedule, or as an agreed upon fixed fee. 5.3 Hourly Rate Schedule /Other Direct Costs -Please refer to the attached Hourly Rate Schedule for hourly rate charges and for information concerning other direct costs. 6.0 THE VILLAGE'S RESPONSIBILITIES 6.1 The Village agrees to designate the Public Services Director as its Project Representative, who shall be BEA's point of contact with the Client, and v~ha shall, by virtue of this designation, have the authority to direct the work of • BEA and their consulting team. The Project Representative shall tie responsible for providing information to BEA that is identified in ttris agreement as the Village's responsibility. • 6.2 The Village shall provide full information to BEA regarding project requirements and constraints including, without limitation, a program setting forth the Client's objectives, all data, drawings, information and all other resources requested by BEA that are necessary for completion of the project. 6.3 The Village shall comply with any schedule requirements discussed with BEA during the course of the project and, in any event, shall be available to meet with BEA and provide decisions in a timely manner throughout the project. 6.4 The Village shall be responsible for all other aspects of the project nof: specifically assigned to BEA under this Letter of Agreement or any subsequent request (and acceptance) for Additional Service. 7.0 GENERAL PROVISIONS 7.1 Either party has the right to terminate this agreement at any time with or without cause upon fifteen (15) day advance written notice to the other party. BEA will be paid for performance of the contract through thedate of termination. 7.2 If litigation arises from or as a result of this agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and costs associated with said litigation, both at the trial and appellate court levels. 7.3 BEA shall maintain Workers Compensation, Comprehensive General Liability, Business Auto liability and Professional Liability Insurance as stated below: WORKER'S COMPENSATION: Coverage to apply for all employees for statutory limits in compliance with the applicable State and Federal laws. The policy shall include employers liability. Notwithstanding the number of employees or any other statutory provisions to the contrary, coverage shall extend to all employees of BEA and subcontractor. Statute limits shall be in compliance with applicable State and Federal laws. COMPREHENSIVE GENERAL LIABILITY: Shall have the minimum limits of $1,000,000 per occurrence, combined single limit for bodily injury liability and property damage liability. This shall include premises and operations, independent consultants, products and completed operations, broad form property/personal injury, XCU coverage, and a contractual liability endorsement. BUSINESS AUTO LIABILITY: Shall have the minimum limits of coverage of $500,000 per occurrence, combined single limit for bodily injury and property • damage liability. This shall be an auto policy including owned, hired, non-owned, and employee non-ownership coverage. • PROFESSIONAL LIABILITY: Insurance and indemnification -BEA shall maintain professional liability insurance covering BEA for sums which BEA shall become legally obligated to pay as damages because of liability arising out of any negligence, error or mistake in rendering or omission in failing to render the professional services required in the performance of BEA's agreement with the Village. Required coverage shall be for limits of liability not less than $1,000,000. The Village shall be included as an additional insured under the general liability and automobile liability policies. Current valid insurance policies meeting the requirements herein identified shall be maintained during the duration of the named project. There shall be thirty (30) day notification to the Village in the event of cancellation or modification of any stipulated insurance policy. It shall be the responsibility of BEA to ensure that all subcontractors are adequately insured or covered under their policies. Certificates of Insurance shall be on file with the Village and approved by the same prior to the commencement of any work activities. Such approval does riot waive BEA's responsibility to comply with the requirements of this section or modifications of this section.
