AN ORDINANCE OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, AMENDING CHAPTER 2,
"ADMINISTRATION," ARTICLE III, "ADMINISTRATIVE CODE,"
DIVISION 2, "AUDIT COMMITTEE," OF THE VILLAGE CODE OF
ORDINANCES BY AMENDING SECTION 2-52, "COMPOSITION; TERMS;
VACANCIES," AND SECTION 2-54, "DUTIES," TO INCLUDE ONLY
VILLAGE RESIDENTS AND AUTHORIZE ADDITIONAL DUTIES AS
DIRECTED BY THE VILLAGE COUNCIL; PROVIDING FOR CODIFICATION;
PROVIDING FOR SEVERABILITY; PROVIDING FOR CONFLICTS;
PROVIDING FOR AN EFFECTIVE DATE; AND FOR OTHER PURPOSES.
WHEREAS, the Audit Committee has recommended certain revisions to Sections 2-52 and 2-54
of the Village Code to modify the composition of the Audit Committee and to add additional
duties as authorized by the Village Council; and
WHEREAS, the Village Council wishes to implement such changes and determines that the
adoption of this Ordinance is in the best interests of the public health, safety and welfare.
NOW, THEREFORE, BE IT ORDAINED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH as follows:
Section 1. The foregoing recitals are hereby ratified as true and correct and incorporated
herein.
Section 2. The Village Council hereby amends Division 2, "Audit Committee," of Article
III, "Administrative Code," of Chapter 2, "Administration," of the Village Code of Ordinances
by amending Section 2-52 to read as follows (additional language is underlined and deleted

Sec. 2-52. Composition; terms; vacancies.
(a) Composition. The audit committee shall consist of five (5) members and
two (2) alternate members. The membership of the audit committee shall
consist of ~e~~rthc~-:zl~g~-ee~~'~ o-a -(4) five 5 village
residents with educational and/or practical experience in the fields of
finance or business.
Section 3. The Village Council hereby amends Division 2, "Audit Committee," of Article
III, "Administrative Code," of Chapter 2, "Administration," of the Village Code of Ordinances
by amending Section 2-54 to read as follows (additional language is underlined and deleted
language is st~iel~=e~tg1}):
Sec.2-54. Duties.
• The audit committee shall have the following duties and responsibilities:
(1) The primary responsibility of the audit committee shall be to oversee and
monitor the independent audits of the village's financial statements from the
selection of the independent auditors to the resolution of audit findings.
(2) The audit committee shall facilitate communication between the village
manager's office, the independent auditors and the village council.
(3) The audit committee shall serve as an advisor to the village council and shall
conduct financial studies and analyses as requested by the village council
(4) The audit committee shall present on an annual basis a written report to
the village council which shall show how the committee has discharged its
duties and met its responsibilities. The written report shall include its
findings as to the independent audits of the village's financial statements.
Section 4. The provisions of this Ordinance shall become and be made part of the Code of
Ordinances for the Village of North Palm Beach, Florida.
Section 5. If any section, paragraph, sentence, clause, phrase or word of this Ordinances is
for any reason held by a court of competent jurisdiction to be unconstitutional, inoperative or
void, such holding shall not affect the remainder of the Ordinance. _ __ _____ ____
Section 6. All ordinances and resolutions, or parts of ordinances and resolutions, in conflict
herewith are hereby repealed to the extent of such conflict.
Section 7. This Ordinance shall be effective immediately upon adoption.
