A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA, AUTHORIZING AND
DIRECTING THE MAYOR AND VILLAGE CLERK TO ENTER
INTO AN AGREEMENT WITH OMNI INTERIORS, INC.
ATTACHED AS EXHIBIT "A", WHICH AGREEMENT PROVIDES
FOR A STUDY AND DEVELOPMENT OF DESIGN CONCEPTS
AND SPECIFICATIONS FOR THE NORTH PALM BEACH
COUNTRY CLUB; AND PROVIDING FOR AN EFFECTIVE DATE.
BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM
• BEACH, FLORIDA.
SECTION 1. The Village Council of the Village of North Palm Beach,
Florida, does hereby approve the agreement with Omni Interiors, Inc. attached as
Exhibit "A", which agreement provides for a study and development of design concepts
and specifications for the North Pahn Beach Country Club.
SECTION 2. The Mayor and Village Clerk are hereby authorized and
directed to execute the agreement with Omni Interiors, Inc. set forth in Exhibit "A" for
acid on behalf of the Village of North Palm Beach.
SECTION 3. This resolution shall take effect immediately upon its

THIS AGREEMENT is made and entered into this 14th day of
May 9998, by and between VILLAGE OF NORTH PALM BEACH, a
municipal corporation in Palm Beach County, Florida, hereinafter referred to as
VILLAGE and OMNI INTERIORS, INC., a corporation, hereinafter referred to as OMNI.

a corporation, to conduct a study and development of design concepts and
specifications for the North Palm Beach Country Club; and
WHEREAS, OMNI is desirous of conducting such study and developing
the design concepts and specifications for the price and upon the terms and provisions
hereinafter set forth in this agreement.
NOW THEREFORE, inconsideration of the promises mutually exchanged
in this agreement and other good and valuable consideration, the receipt and
sufficiency of which is acknowledged, the parties agree as follows:
9. Scope of Services. The professional design services to be
pertormed by OMNI and its principal, Michael Parenti, are as follows:
(1) Survey existing facilities.
(2) Meet, consult with administration, staff and concession
holders.
(3) Present alternative recommendations for entire clubhouse
decor and furnishings.
(4) Provide preliminary cost estimate for proposed
improvements. r
(5) Conduct presentations for recom fnendations for approval.
(ti) Consult with architect and or other professionals in
connection with project.
(7) To recommend and submit samples of floor, wall and
1 ceiling coverings, lighting fixtures, furniture.
(8) Floor plans setting forth furniture layouts.
(9) Recommendations to improve dining room acoustics

~~ OMNI acknowledges that the scope of services set forth above is
for t~tudy and development of design concepts and specifications at the country
club is not intended nor to be construed as an agreement on the part of the VILLAGE
that OMNI do the interior decoration of the country club.
OMNI agrees that Michael Parenti shall be its principal person to
perform the scope of services of this contract.
2. Time of Performance. OMNI agrees that it shall perform and
• complete its scope of services no later than sixty (60) days from date of full execution
of this agreement.
3. Compensation. Agrees to pay OMNI compensation at the rate of
$100.00 per hour with the total compensation not to exceed five thousand ($5,000.00)
dollars. OMNI agrees to submit to VILLAGE invoice or invoices setting forth in detail
the days, time expended and services performed. Invoices shall be due and payable
within fifteen (15) days of receipt of invoice by VILLAGE.
4. Entire Agreement. This agreement constitutes the entire
agreement of the parties and may not be amended or modified except in a writing
signed by both parties.
5. Assignment. This agreement may not be assigned by OMNI.
6. Governing Law. This agreement shall be governed in its
enforcement, construction and interpretation by the laws of the State of Florida.
7. Time• Time is of the essence with respect to all matters contained
in this agreement.
8. Good Faith Efforts. OMNI covenants to use its best efforts in good
• faith to comply with the terms and provisions of this agreement.
