A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM
BEACH, FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND VILLAGE
CLERK TO ENTER INTO AN AGREEMENT FOR PROFESSIONAL SERVICES WITH
JAMES A. CHEROF, ESQ., ATTACHED AS EXHIBIT "A", WHICH AGREEMENT IS FOR
THE PURPOSE OF SECURING LABOR RELATIONS CONSULTANT SERVICES FOR
THE VILLAGE; AND, PROVIDING FOR AN EFFECTIVE DATE
BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA:
Section 1. The Village Council of the Village of North Palm Beach, Florida,
does hereby approve the Agreement for professional services with James A. Cherof,
Esq., attached as Exhibit "A", which Agreement is for the purpose of securing Labor
Relations Consultant Services for the Village.
Section 2. The Mayor and Village Clerk are hereby authorized and directed to
execute the Agreement with James A. Cherof, Esq., set forth in Exhibit "A" for and on
behalf of the Village of North Palm Beach.
Section 3. This Resolution shall take effect immediately upon its adoption.

. AGREEMENT FOR PROFE4sT~uAL SERVICES
This document (the "Agreement") is the written engagement
contract between JAMES A. CHEROF, ("Counsel") and VILLAGE OF NORTH
PALM BEACH, FLORIDA ("Village").
1. COUNSEL'S DUTIES. The Village is hiring JAMES A
CHEROF
to provide the .
following legal services:
A. Confer- with the Village Council, regarding the
Village's collective bargaining agreements.
B. Confer with the Village Manager regarding
operational and fiscal considerations related to
the collective bargaining agreements.
C. Coordinate and attend all collective bargaining
i
sess
ons as the Village's Lead Negotiator.
D. Research and analyze all provisions, offers and
counter-offers relevant to achieving a collective
bargaining agreement.
• E. Provide minutes of each collective bargaining
i
sess
on to the Village Clerk.
F. Following negotiations, prepare a collective
bargaining a
re
g
ement for ratification.
G. Perform such other labor relation services as
requested by the Village Manager or Village
Council.
2. VILLAGE DUTIES. The Village agrees to:
A. Cooperate with Counsel.
B. Keep Counsel informed of all developments pertinent
to the task.
C. Provide Counsel with copies of Village records
pertinent to the collective bar

3. PROFESSIONAL FEES. The Village agrees that charges for
professional services rendered will be $125.00 per hour. Travel
time of Counsel shall not be compensable.

4. COSTS AND OTHER H_aAGES. Counsel may incur various costs
and expenses on Village's behalf in performing legal services under
• this Agreement. The Village agrees to pay for those costs and
expenses in addition to the hourly fees. The costs and expenses
commonly include fees fixed by law or assessed by courts and other
agencies, court reporters' fees, long distance telephone calls,
messenger and other delivery fees, excessive postage, photocopying
and other reproduction costa, and other similar items.
5. BILLING STATEMENTS. Periodic statements will be sent for
fees and costs incurred. Payment is requested within 30 days of
its date.
b • DISCHARGE AND WITHDRAi9 r , Counsel serves at the pleasure
of the Council and may be discharged at any time. This Agreement
shall be for a period of one (1) year subject to the right of
termination as hereafter specified. The Village Council may
terminate this Agreement at any time upon thirty (30) days' written
notice to Counsel with Counsel to be paid in accordance with this
Agreement to date of termination. Consultant shall have a
reciprocal right to terminate this Agreement upon sixty (60) days'
written notice to the Village Council with Counsel to be paid in
accordance with this Agreement to date of termination.
7. EFFECTIVE DATE. This Agreement will take effect when
approved by the Council.
