1997-051 Public Safety Substation Lease Renewal• RESOLUTION NO. 51-97 A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA, AUTHORIZING THE MAYOR AND VILLAGE CLERK TO ENTER INTO A LEASE RENEWAL AGREEMENT WITH WILLIAMS SCOTSMAN, INC., ATTACHED AS EXHIBIT "A", WHICH AGREEMENT PROVIDES FOR LEASING OF A MODULAR BUILDING FOR THE PUBLIC SAFETY NORTH SUBSTATION; AND, PROVIDING FOR AN EFFECTIVE DATE. BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA: Section 1. The Village Council of the Village of North Palm Beach, Florida, does hereby approve the Lease Renewal Agreement with Williams Scotsman, Inc., attached as Exhibit "A", which agreement provides for leasing of • a modular building for the Public Safety North Substation. Section 2. The Mayor and Village Clerk are hereby authorized and directed to execute the Lease Renewal Agreement with Williams Scotsman, Inc., as set forth in Exhibit "A" for and on behalf of the Village of North Palm Beach. Section 3. This Resolution shall take effect immediately upon its adoption. PASSED AND ADOPTED THIS 2gth_ DAY OF Allf;l_ICT 1997. MAYOR (Village Seal) ATTEST: • Village Clerk • LEASE RENEWAL AGREEMENT THIS LEASE RENEWAL AGREEMENT is made and entered into this 28th day of August 1997, by and between WILLIAMS SCOTSMAN, INC., a Maryland corporation, as LESSOR and VILLAGE OF NORTH PALM BEACH, a Florida municipal corporation, as LESSEE. WITNE55ETH: WHEREAS, LESSOR and LESSEE entered into a lease agreement of a modular building to be utilized for LESSEE'S Public Safety North • Substation on March 24, 1994, for a term of three years; and WHEREAS, LESSOR and LESSEE are desirous of renewing the Lease Agreement for a period of one (1) year upon the terms and for the rent herein specified and granting LESSEE options to renew upon the terms and provisions hereinafter set forth; and WHEREAS, the parties are desirous of incorporating all terms and provisions of the original Lease Agreement that do not conflict with the terms of this renewal agreement and making such provisions a part hereof; NOW, THEREFORE, in consideration of the sum of TEN AND NO/100 ($10.00) DOLLARS and other good and valuable considerations, the parties hereby agree as follows: • 1. TERM. The term of this Lease Renewal Agreement shall be one (1) year commencing the 1st day of September, 1997, and expiring the 31st day of August, 1998. • 2. RENT. LESSEE shall pay to LESSOR rent in advance of X930.00 per month for the leased property commencing on the 1st day of September, 1997, and a similar sum on the same day of each consecutive month thereafter during the term of this Renewal Agreement. 3. RENEWAL TERMS. Provided LESSEE is in compliance with the terms and provisions of this Renewal Lease including payment of rent monies, LESSOR hereby grants to LESSEE (upon expiration of term hereunder) five (5) consecutive one year options to renew the Lease Agreement upon the terms and provisions herein with the rent • during each option term to be the rental paid during the preceding term as increased by the percentage increase in the consumer price index (CPI) during the preceding term. LESSEE'S election to renew a term or terms shall be given in writing to LESSOR not less than thirty (30) days prior to the end of the preceding term. 9. INCORPORATION OF PROVISIONS. Except as specifically modified herein, all terms and provisions of the original Lease Agreement between the parties dated March 24, 1999, shall remain in full force and effect and are hereby incorporated into and made a part of this Lease Renewal Agreement. That a true copy of the original Lease Agreement between the parties dated March 29, 1999. is attached to this Lease Renewal Agreement as Exhibit "A". In the event of conflict in any of the terms and provisions of the • original Lease Agreement and the terms and provisions of this Lease Renewal Agreement, this Lease Renewal Agreement shall prevail. • IN WITNESS WHEREOF, the parties to this Lease Renewal Agreement have set their respective hands and seals on the day and year first above written. k'ILLIAMS SCOTSMAN, INC.
