TAYLOR, P.A., ATTACHED AS EXHIBIT "A"; AND PROVIDING FOR AN EFFECTIVE DATE. WIIEKEAS, the Village of North Palm Beach is desirous of entering into a Labor Relations Consultant Agreement with Patricia I. Taylor, P.A., with a one (1) year term. Bl: IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA: Section 1. The Village Council of the Village of North Palm Beach does hereby approve the Labor Relations Consultant Agreement with Patricia I. Taylor, P.A., attached as l;xhibit "A". • Section 2. The Mayor and Village Clerk are hereby authorized and directed to execute the labor Relations Consultant Agreement with Patricia I. Taylor, P.A. set forth in Exhibit "A" for and on behalf of the Village of North Palm Beach. Section 3. This Resolution shall take effect immediately upon its adoption. A'r rEST: • Village Clerk Mayor LABOR RELATIONS CONSULTANT AGREEMENT THIS AGREEMENT is effective the 1st day of March, 1996, by and between the VILLAGE OF NORTH PALM BEACH (the "Village") and PATRICIA I. TAYLOR, P.A. ("Consultant"). W I T N E S S E T H: WHEREAS, the Village and Consultant are desirous of entering L~ J into a Labor Relations Consultant Agreement for a period of one (1) year and upon the terms and provisions hereinafter set forth. NOW, THEREFORE, in consideration of the premises and of the mutual benefits, promises and agreements herein contained, the parties do mutually covenant and agree as follows: 1. CONSULTANT SERVICES. Consultant shall execute and perform the following services for the Village: A. Review present General Employees (PBA-GE), Police Benevolent Association - Police Benevolent Association - Lieutenants (PBA-L), and the National Association of Government Employees (NAGS) Collective Bargaining Agreements, and negotiate on behalf of the Village any changes to those Agreements. B. Upon request, participate in the grievance process; arbitration hearings; Special Master impasse hearings; Federal Mediation and Conciliation Service sessions; unfair labor practice charge(s) filed with the Public Employees Relations Commission; and prepare briefs concerning the above-cited matters. 1 • C. Confer with Council and Village Manager to analyze the negotiations and other relevant labor relations matters. D. Subject to the concurrence of the Village Manager, confer with supervisory personnel for advice, explanation and administration of Personnel Rules and Collective Bargaining Agreements pertinent to the provisions of the Agreement. E. Review changes and/or amendments of Personnel Rules and Collective Bargaining Agreements relating to the provisions of those Agreements. F. Prepare and submit minutes of negotiation sessions to Village Clerk. G. Post notices, in accordance with Florida open • meeting laws, as to date, time and place for collective bargaining meetings. H. Prepare final format of the negotiated Agreement for Council approval and ratification. 2. TERM OF AGREEMENT. This Agreement shall become effective the 1st day of March, 1996, for a period of one (1) year subject to right of termination as hereinafter specified. 3. TERMINATION. The Village Council shall have the right to terminate this Agreement at any time upon thirty (30) days' written notice to Consultant with Consultant to be paid in accordance with this Agreement to date of termination. Consultant shall have a • 2 • reciprocal right to terminate this Agreement upon sixty (60) days' written notice to the Village Council with Consultant to be paid in accordance with this Agreement to date of termination. 4. COMPENSATION. Village agrees to pay ONE HUNDRED ($100.00) DOLLARS per hour for professional services rendered. The Village agrees to reimburse Consultant for all out- of-pocket expenses, including long distance telephone calls, photocopies, and postage. However, travel time of Consultant shall not be compensable. 5. MISCELLANEOUS. A. This Agreement may be executed in any number of counterparts, each of which when executed and delivered shall be an • original, but all of such counterparts shall constitute one and the same Agreement. B. This Agreement shall be construed in accordance with and governed by the laws of the State of Florida. C. The invalidity of any provision of this Agreement as determined by a Court of competent jurisdiction shall in no way affect the validity of any other provision hereof. D. Time is of the essence. E. The captions used herein are for convenience only and do not limit or amplify the provisions hereof. F. This Agreement contains the entire understanding between the parties. No prior agreement or understanding pertaining r, LJ 3 to any such matter shall be effective. This Agreement may be • modified in writing only, signed by both the Village and Consultant.
