1992-53 Terminating Lease Agreement with Seacoast RESOLUTION NO. 53-92 A RESOLUTION OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND VILLAGE CLERK TO ENTER INTO A LEASE TERMINATION AGREEMENT WITH SEACOAST UTILITY AUTHORITY ATTACHED AS EXHIBIT "A" FOR THE PURPOSE OF TERMINATING THE LEASE AGREEMENT ENTERED INTO BETWEEN THE PARTIES ON SEPTEMBER 5, 1991; AND, PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the Village of North Palm Beach is desirous of entering into a lease termination agreement with Seacoast Utility Authority for purposes of terminating the lease agreement entered into between the parties on September 5, 1991. BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM 1 1 BEACH, FLORIDA: Section 1. The Village Council of the Village of North Palm Beach does hereby approve the lease termination agreement attached as Exhibit "A", which lease termination agreement is for the purpose of terminating the lease of real property entered into between Seacoast Utility Authority, as lessor and the Village of North Palm Beach, as lessee, on September 5, 1991. Section 2. The Mayor and Village Clerk are hereby authorized and directed to execute the lease termination agreement with Seacoast Utility Authority set forth in Exhibit "A" for and on behalf of the Village of North Palm Beach. Section 3. This Resolution shall take effect immediately upon its adoption. t PASSED AND ADOPTED THIS 10th DAY OF December 1992. (Village Seal) . MAYOR ATTES ' VILLAGE CLERK 1 7 AGREEMENT --~ This Agreement, entered into this S~ day of ~ n o m o /' , 199c~. by and between Seacoast Utility Authority, a Florida legal entity (hereinafter called "Seacoast") and the Village of North Palm Beach, a Florida municipal corporation (hereinafter called "Village"). WITNESSETH: WHEREAS, Seacoast and Village have entered into a Lease Agreement (hereinafter the "Lease") for the property described on Exhibit "A" (hereinafter the "Property"), dated September 5, 1991; and WHEREAS, Village no longer wishes to use Property for purposes set forth in the Lease; and WHEREAS, the Benjamin School (hereinafter "Benjamin") wishes to purchase Property; and WHEREAS, Village has no objection to the sale of Property to Benjamin; and WHEREAS, Section 2 of Lease requires either party to provide 365 days written notice prior to lease termination; and WHEREAS, both Seacoast and Village wish to waive the 365 day notice requirement and terminate the Lease effective January 1, 1993. WITNESSETH: Section 1. Seacoast and Village hereby agree that all advance notification requirements appearing in Lease are hereby waived and no longer in force. Section 2. The Lease is hereby terminated effective January 1, 1993. Until that date, all provisions of the Lease remain in full force and effect. Section 3. Village hereby affirmatively declares that it has no objection to the sale of Property to Benjamin.
