A RESOLUTION OF THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA,
APPROVING AN AGREEMENT ATTACHED AS EXHIBIT "A" BETWEEN HYMAN BORAX
AND TEIE VILLAGE WHEREBY HYMAN BORAX IS RETAINED AS LABOR
' NEGOTIATOR FOR THE VILLAGE OF NORTH PALM BEACH.
BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM
BEACH, FLORIDA:
Section~l, The Village Council of the Village of North
Palm Beach, on a, hereby approves the Agreement between Hyman
Borax and the Village whereby Hyman Borax is retained as labor
negotiator for the Village of North Palm Beach. That a copy of
such Agreement is attached hereto and made a part hereof.
Section•2, The Mayor and Village Clerk are hereby
authorized an erected to execute the Agreement set forth: in
Exhibit "A" for and on behalf of the Village.
Seci~ion.3. This Resolution shall take effect
immediately upon i~adoption.

LABOR NEGOTIATOR AGREEI~NT •

This Agreement is effective the -14th day of _ June ,
1990, by and between the VILLAGF. OF NORTH PALI4 BEACH (the "Village"),
and HYMAN BORAX ("Consultant").
The purpose of this Agreement is to set forth an
understanding of Consultant's requirements in relation to
negotiation with the Police Benevolent Association and the Idational
Association of Government Employees, and other issues hereinafter
enumerated.
The Village agrees to employ HYMAN BORAX as Consultant
to execute the follo~aing services:'
A. Review Aresent PBA and NAGE Agreements.
B. Upon request participate Yn the. Grievance process;
arbitration hearings; Special Master impasse: hearings; Federal
I4ediation and Conciliation Service sessions; unfair labor practice
charge(s) filed with. the Public Employees Relations Commission;
and prepare Briefs concerning the above cited matters.
C. Confer with Council and/or Village Manager to analyze
the negotiations and other relevant labor relations matters.
D. Subject to the-concurrence of the Village 14anager,
confer with supervisory personnel for advice, explanation and
administration of Personnel Rules pertinent to the provisos of
the Agreement.
E. Review changes` and/or amendment(s) of Personnel
Rules relating to provisos of the Agreement.
F. Submit copy of negotiation minutes to Village
Manager.
G. Post notices, i'n accordance with Florida open
meeting laws, as to date, time-and place for collective bargaining,
meetings.
H. Prepare final format of the negotiated Agreement for
Council approval and ratification.

I. The Village agrees to pay $75.00 per hour for
Consultant's time spent for above cited services; provided,
hocuever, it is specifically agreed that the maximum compensation
for Consultant's services as set forth in this Agreement shall not
exceed the sum of THREE THOUSAND ($3,000.00) DOLLARS.
J. This Agreement shall become effective upon
execution for a period of One (1) year from the date and year
first above written; provided, however, the Village Council
shall have ttie right to terminate this Agreement at any time upon
fifteen (15) days' written notice to Consultant with Consultant
to be paid in accordance with this Agreement down to date of
termination. Consultant shall have a reciprocal right to
terminate this Agreement upon fifteen (15) days' written notice to
the Village Council; provided, however, if Consultant has received
the maximum fee of $3,000.00, Consultant shall be required to
complete all services specified in this Agreement without additional
compensation.
K. This Agreement may be executed in any number of
counterparts, each of which when executed and delivered shall be
an original, but all of such counterparts shall constitute one and
the same Agreement.
L. This Agreement shall be construed in accordance ~oith
and governed by the laws of the State of Florida.
M. Each of the Parties, by signing this Agreement, agrees
to the terms set forth herein:
