A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, APPROVING THE TRANSFER OF
CONTROL OF PERRY CABLE TV CORP. TO CENTEL COMMUNICATIONS
COMPANY AND THE TRANSFER OF THE COMMUNITY ANTENNA
TELEVISION SYSTEM FRANCHISE HELD BY PERRY CABLE TV CORP.
TO CENTEL CABLE TELEVISION COMPANY OF FLORIDA.
WHEREAS, Perry Cable TV Corp. operates a cable television system
in the Village of North Palm Beach, Florida pursuant to a non-exclusive
franchise granted by Ordinance No. 116-1965 dated March 23, 1965, as supplemented
and amended by the Resolution No. 293-67 dated February 28, 1967, Ordinance 156-67
dated September 19, 19fi7, and Ordinance No. 216-70 dated September 10, 1970; and
WHEREAS, Centel Communications Company will acquire all stock of
Perry Cable Companies, Inc. which is the sole parent of Perry Cable TV Corp. and
will operate the cable TV system in the Village of North Palm Beach through its
wholly owned subsidiary Centel Cable Television Company of Florida; and
WHEREAS, Perry Cable TV Corp. will transfer its non-exclusive
franchise to Centel Cable Television Company of Florida; and
WHEREAS, Perry Cable TV Corp
of Florida have requested approval of these

WHEREAS, the Village Council of the Village of North Palm Beach
desires to approve said transfer of control and transfer of said non-exclusive
franchise.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF NORTH PALM BEACH THAT:
1. The transfer of control of Perry Cable TV Corp. to Centel
Communications Company and transfer to Centel Cable Television Company of Florida
of the non-exclusive franchise previously granted to Perry Cable TV Corp., pursuant
to a Ordinance No. 116-1965 dated March 23, 1965, as supplemented and amended by
the Resolution No. 293-67 dated February 28, 1967, Ordinance No. 156-67, dated
September 19, 1967, and Ordinance No. 216-70 dated September 10, 1970, is hereby
approved.
2. The terms and conditions of said non-exclusive franchise shall
remain unchanged, except that all provisions of the non-exclusive franchise shall
be subject to all applicable federal, state, local and Village regulation.
3. This approval shall be effective upon receipt of written
confirmation of the closing and Centel's agreement to be bound by the terms of the
non-exclusive franchise previously granted to Perry Cable TV Corp., and this
Resolution accompanied by a Resolution of Centel Communications Company authorizing
such agreement.
