A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH
PALM BEACH, FLORIDA, APPROVING AN ASSIGNMENT OF THE LEGAL
SERVICES AGREEMENT WITH LEONARD G. RUBIN, P.A. AND TORCIVIA,
DONLON & GODDEAU, P.A. TO TORCIVIA, DONLON, GODDEAU & RUBIN,
P.A. AND AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE
THE ASSIGNMENT ON BEHALF OF THE VILLAGE; PROVIDING FOR
CONFLICTS; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, through the adoption of Resolution No. 2006-62, the Village Council approved a Legal
Services Agreement with Leonard G. Rubin, P.A. and Torcivia, Donlon & Goddeau, P.A. (f/k/a Law
Office of Glen J. Torcivia and Associates, P.A.) for Village Attorney Services; and
WHEREAS, through the adoption of Resolution No. 2016-61, the parties amended the Agreement to
increase the hourly rate; and
WHEREAS, due to the merger of the two firms, the parties wish to assign the Agreement to the firm of
Torcivia, Donlon, Goddeau & Rubin, P.A. effective January 1, 2021; and
WHEREAS, the Village Council determines that the adoption of this Resolution is in the best interests
of the residents and citizens of the Village.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, as follows:
Section 1. The foregoing recitals are ratified and incorporated herein.
Section 2. The Village Council hereby approves the Assignment of the Legal Services Agreement
to Torcivia, Donlon, Goddeau & Rubin, P.A., a copy of which is attached hereto and incorporated herein,
and authorizes the Mayor and Village Clerk to execute the Assignment on behalf of the Village.
Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby repealed
ASSIGNMENT OF LEGAL SERVICES AGREEMENT
This Assignment of Legal Services Agreement is made as of this 10 ` da of December, 2020

by and between the Village of North Palm beach, a Florida municipal corporation (hereinafter
"Village"), and Torcivia, Donlon, Goddeau & Rubin, P.A., a Florida corporation (hereinafter
"Firm").
WHEREAS, on August 26, 2006, the Village entered into a Legal Services Agreement
("Agreement") with the law firms of Leonard G. Rubin, P.A. and Glen J. Torcivia & Associates,
P.A. (n/lc/a Torcivia, Donlon & Goddeau, P.A.) to provide legal services to the Village as Village
Attorney; and
WHEREAS, on September 22, 2016, the parties executed an Amendment to the Agreement to
increase the hourly rate; and
WHEREAS, effective January 1, 2021, the firms of Leonard G. Rubin, P.A. and Torcivia, Donlon
& Goddeau, P.A. are merging into the new firm of Torcivia, Donlon, Goddeau & Rubin, P.A., and
the parties with to assign the Agreement to this new firm.
NOW, THEREFORE, in consideration of the mutual promises contained herein and in the
Agreement and other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the parties agree as follows:
1. Recitals:
The foregoing recitals are hereby ratified as true and correct and are incorporated herein.
2. Assignment and Acceptance:
The parties hereby agree to the assignment of the Legal Services Agreement from Leonard G.
Rubin, P.A. and Torcivia, Donlon & Goddeau, P.A. to the firm of Torcivia, Donlon, Goddeau &
Rubin, P.A. The Firm accepts the assignment and agrees to assume all obligations and
requirements set forth in the Agreement.
3. Effective Date:
This Assignment shall be effective as of January 1, 2021.
4. Existing Agreement:
Except as specifically modified by this Assignment, all terms of the Agreement, as amended, shall
remain in full force and effect.
