R2020-70 Second Amendment to Janitorial Services Contract with AK Building Services, Inc.RESOLUTION 2020-70 A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA APPROVING A SECOND AMENDMENT TO THE CONTRACT WITH AK BUILDING SERVICES, INC. FOR JANITORIAL SERVICES TO MODIFY THE SCOPE OF WORK AND INCREASE THE COMPENSATION AND AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE THE SECOND AMENDMENT ON BEHALF OF THE VILLAGE; PROVIDING FOR CONFLICTS; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, through the adoption of Resolution No. 2018-06 on January 25, 2018, the Village Council awarded a Contract for municipal facilities janitorial services to AK Building Services, Inc.; and WHEREAS, through the adoption of Resolution No. 2019-22 on March 14, 2019, the Village Council executed an Amendment to the Contract to include additional space within the Community Development Department and modify the compensation; and WHEREAS, in accordance with Article 18 of the Contract, the Village wishes to again modify the Scope of Work to include the North Palm Beach Country Club Clubhouse facility retroactive to December, 2019 and adjust the compensation accordingly; and WHEREAS, the Village Council determines that the approval of a Second Amendment to the Contract is in the best interests of the residents and citizens of the Village of North Palm Beach. NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA as follows: Section 1. The foregoing recitals are ratified as true and incorporated herein. Section 2. The Village Council hereby approves a Second Amendment to the Contract for Municipal Janitorial Services with AK Building Services, Inc., a copy of which is attached hereto and incorporated herein, and authorizes the Major and Village Clerk to execute the Second Amendment on behalf of the Village. The Second Amendment results in an increase in monthly compensation by $3,435.00 retroactive to December 2019 (resulting in an annual increase of $41,220.00), with funds expended from Account No. L8059-33491 (Clubhouse Grounds — Contractual Services). Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby repealed to the extent of such conflict. Section 4. (Village Seal) ATTEST: C)l '",VILLAGE CLERK MAYOR Y SECOND AMENDMENT TO CONTRACT THIS SECOND AMENDMENT is made and entered into this `day of N N*-emrn, I r 2020, by and between the VILLAGE OF NORTH PALM BEACH, a municipal corporation organized and existing under the laws of the State of Florida, hereinafter referred to as VILLAGE and AK BUILDING SERVICES, INC., a Florida corporation, hereinafter referred to as CONTRACTOR, whose Federal I.D. is 26-3509119. WHEREAS, the VILLAGE and CONTRACTOR executed a Contract dated January 25, 2018 ("Contract") to provide all services necessary for municipal facility janitorial services as required under the Request for Proposals issued by the VILLAGE; and WHEREAS, Article 18(A) of the Contract provides that the VILLAGE reserves the right to make changes to the scope of work upon notification to CONTRACTOR, and upon such notification, CONTRACTOR shall provide an estimate for the increased or decreased compensation based on such modification; and WHEREAS, the VILLAGE and CONTRACTOR executed an Amendment to the Contract dated March 14, 2019 to include additional space within the Community Development Department and adjust the compensation accordingly; and WHEREAS, the VILLAGE and CONTRACTOR have agreed to another modification of the scope of work and total compensation for the North Palm Beach Country Club facility, retroactive to December 201.9, and wish to execute a Second Amendment to the Contract as required by Article 18(B) of the Contract. NOW, THEREFORE, in consideration of the promises and mutual covenants contained in the Contract, as amended, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the VILLAGE and CONTRACTOR agree as follows: 1. Retroactive to December 2019, the Scope of Work identified in the Request for Proposals incorporated into the Contract is hereby modified to include the new North Palm Beach Country Club Clubhouse facility, including the administrative offices, located at 951 U.S. Highway One, North Palm Beach, Florida. 2. Due to the change in the Scope of Work, the VILLAGE shall pay CONTRACTOR an additional sum of $3,435.00 per month, inclusive of paper supplies, for an additional annual cost of $41,220.00. 3. All other provisions of the Contract, to the extent not expressly modified herein, shall remain in full force and effect.
