AN ORDINANCE OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, RELATING TO VILLAGE BOARDS
AND COMMITTEES; AMENDING ARTICLE III, "ADMINISTRATIVE
CODE," OF CHAPTER 2, "ADMINISTRATION," OF THE VILLAGE CODE
OF ORDINANCES BY AMENDING DIVISION 2, "AUDIT COMMITTEE,"
TO REMOVE REDUNDANT LANGUAGE AND RENUMBER REMAINING
SECTIONS; AMENDING ARTICLE II, "GOLF ADVISORY BOARD," OF
CHAPTER 9, "COUNTRY CLUB," OF THE VILLAGE CODE OF
ORDINANCES TO REMOVE REDUNDANT LANGUAGE AND RENUMBER
REMAINING SECTIONS; PROVIDING FOR CODIFICATION; PROVIDING
FOR SEVERABILITY; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, through the adoption of Ordinance No. 2019-01 on March 14, 2019, the Village
Council adopted comprehensive revisions to the Code requirements applicable to Village boards
and committees; and
WHEREAS, the Village Council wishes to amend the Village Code to remove additional
redundant language applicable to the Audit Committee and the Golf Advisory Board and
renumber the remaining sections accordingly; and
WHEREAS, the Village Council determines that the adoption of this Ordinance is in the best
interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT ORDAINED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and correct and are incorporated herein.
Section 2. The Village Council hereby amends Division 2, "Audit Committee," of Article III,
"Administrative Code," of Chapter 2, "Administration," of the Village Code of Ordinances as
follows (additional language underlined and deleted language throtigh :
Sec. 2-51. Created.
An audit committee (hereinafter referred as the committee) for the village
is hereby created.
Sec. 2-52. Composition; terms; vacancies.
(a) Composition. The audit committee shall consist of seven (7) members.
The membership of the audit committee shall consist of village residents with
educational and/or practical experience in the fields of finance or business.

(b) Terms. The village council shall appoint members on an annual
basis during April of each year to take effect the following May 1 of each year for
staggered terms of three (3) years as determined by the village council.

Sec. 2-54 54. Duties.
The audit committee shall have the following duties and responsibilities:
(1) The primary responsibility of the audit committee shall be to
oversee and monitor the independent audits of the village's
financial statements from the selection of the independent auditors
to the resolution of audit findings.
(2) The audit committee shall facilitate communication between the village
manager's office, the independent auditors and the village council.
(3) The audit committee shall serve as an advisor to the village
council and shall conduct financial studies and analyses as
requested by the village council.
(4) The audit committee shall present on an annual basis a written
report to the village council which shall show how the committee
has discharged its duties and met its responsibilities. The written
report shall include its findings as to the independent audits of the
village's financial statements.
Section 3. The Village Council hereby amends Article II, "Golf Advisory Board," of
Chapter 9, "Country Club," of the Village Code of Ordinances as follows (additional language

Sec. 9-16. Creation.
The village council hereby creates a golf advisory board to serve in an
advisory capacity. Unless otherwise provided in this section, the advisory board
shall operate in accordance with section 2-1 of this Code.

Sec. 9-17. Composition and terms.
(a) Composition. The village council shall appoint seven (7) members
to serve on the advisory board. The council shall appoint one (1) advisory board
member from the village men's golf association and one (1) advisory board
member from the village women's golf association, each of whom shall be golf
members of the country club. Each association shall recommend a person to serve
as its representative on the board; however, such recommendation shall not be
binding on the council. If no association member wishes to serve in this capacity,
the association members may be replaced with golf members of the country club.
As to the remaining five (5) advisory board members, one (1) shall be a resident
golf member of the country club and three (3) shall be either a resident or non-
resident golf member of the country club. There is no membership or residency
requirement for the fifth regular non -association representative member.
(b) Terms.
(1) The two (2) association representatives shall serve terms of one
(1) year.
(2) The remaining advisory board members shall serve staggered terms
of two (2) years.

Sec. 94-9 18. Duties.
The advisory board shall be advisory only and shall have no final authority
with respect to the country club golf operations. The duties of the golf advisory
board shall be established by resolution of the village council.
Section 4. The provisions of this Ordinance shall become and be made a part of the Code of
the Village of North Palm Beach.
Section 5. If any section, paragraph, sentence, clause, phrase or word of this Ordinance is for
any reason held by a court of competent jurisdiction to be unconstitutional, inoperative or void,
such holding shall not affect the remainder of this Ordinance.
Section 6. All Ordinances or parts of Ordinances or resolutions or parts of resolutions in
conflict herewith are hereby repealed to the extent of such conflict.
Section 7. This Ordinance shall take effect retroactive to April 1, 2019.
