1990-01-01 Legal Services Agreement_Brant and BaldwinA Y_R'F FMF TETT THIS AGREEMENT is made and entered into this 1st day of January, 1990, by and between VILLAGE OF NORTH PALM BEACH, a municipal corporation, hereinafter referred to as "VILLAGE" and the law firm of BRA14T AND BALDWIN, hereinafter referred to as "ATTORNEYS" WITNES S E T H: WHEREAS, the VILLAGE is desirous of employing and retaining the services of ATTORNEYS as general counsel and the law firm of BRANT AND BALDWIN is -desirous of being employed and serving in such capacities; WHEREAS, the parties to this Agreement are desirous of estab- lishing the scope of services and responsibilities of the ATTORNEYS to the VILLAGE and compensation to be paid therefor; NOW, THEREFORE, in consideration of the covenants mutually exchanged herein and for other good and valuable consideration, the psrties agree as follows 1. EMPLOYMENT OF' ATT'ORNEYS. VILLAGE does hereby employ and retain the law firm of BRANT AND BALDWIN to serve as general counsel. 2. SERVICES OF' ATTORNEYS. A. Ordinaiic'es* 'and Re'sd1t ions ATTORNEYS shall draft Ordinances and Resolutions of the VILLAGE and review all draft Ordinances as developed by Staff and as submitted by Council or Staff for legal opinion, interpretation and necessary amendments. -B. ' Res"e'arch and Legal 'Opinion. ATTORNEYS will research and pre -sena legal opinions,on matters requested by the Village Council and Staff. C. 'Gonst1tat on and -Recomm:end'ati:ons. ATTORNEYS will consult with the Village Council and Village Manager to provide legal clari.fication'on various issues. ATTORNEYS are also to provide legal advice and recommendations on an unsolicited basis to assist Council and Staff from unnece sary legal problems D. Council' Meetings ATTORNEYS shall attend all reg- ular and such -'workshop meetings -of the Council and other meetings as requested by the VILLAGE. ATTORNEYS shall serve as parliamentarian under Robert's Rules of Order Revised. E. Additional services. a. Litigation. ATTORNEYS shall provide defense of lawsuits brought against the VILLAGE, including preparation and research for such suits and research, prepare and file lawsuits on behalf of the VILLAGE. ATTORNEYS shall report to and advise the Council and Village Manager of the current status of all litigation. b. Other services. ATTORNEYS shall provide such other services to VILLAGE as authorized and requested by the Council and Village Manager. 3. COMPENSATION. ATTORNEYS shall be compensated on an hourly basis as follows: A. Senior Attorneys. George W. Baldwin and William Brant shall receive compensation at the rate of $125.00 per hour for the first Ten (10) hours of service provided in each calendar month. Thereafter, such ATTORNEYS shall receive compensation at the rate of $150.00 per hour for each hour of service expended over Ten (10) hours during each calendar month. ATTORNEYS shall provide the VILLAGE with a statement at the commencement of a calendar month for services rendered and time expended during the preceding calendar month. B. Associate Attorney. An Associate Attorney of the law firm.of BRANT AND BALDWIN shall be compensated at the rate of $100.00 per hour. C. Travel. ATTORNEYS shall be compensated for author- ized travel beyond Palm Beach County for One (1) day's duration or more, for Seven (7) hours per day and at the hourly rate specified in Paragraph 3A, above. 4. COSTS. ATTORNEYS shall be reimbursed for expenses arising out of representation of the VILLAGE including long distance telephone, facsimile transmittal, court filing fees, document repro- duction and similar expenses. - 2 - 5. SEMINARS. George W. Baldwin only shall be reimbursed for reasonable expenses of attending authorized Legal Seminars includ- ing travel, hotel and meals. Reimbursement for travel for automobile shall be in accordance with VILLAGE policy. 6. EFFECTIVE DATE. This Agreement shall be effective on January 1, 1990 and shall continue subject to termination as specified in Paragraph 7. 7. SEVERANCE. VILLAGE may sever the services of ATTORNEYS upon Thirty (30) days` notice; ATTORNEYS may resign as Counsel upon written notice to VILLAGE of not less than Ninety (90) days.
