A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA APPROVING A SECOND AMENDMENT
i TO AN AGREEMENT WITH NZ CONSULTANTS, INC. FOR CURRENT
AND LONG-RANGE PLANNING AND ZONING SERVICES FOR FISCAL
YEAR 2018 PURSUANT TO PRICING ESTABLISHED IN AN EXISTING
CONTRACT WITH THE CITY OF LAKE WORTH AND AUTHORIZING THE
MAYOR AND VILLAGE CLERK TO EXECUTE THE SECOND AMENDMENT
ON BEHALF OF THE VILLAGE; PROVIDING FOR CONFLICTS; AND
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, on December 4, 201.7, through the adoption of Resolution No. 2017-112, the
Village Council approved an Agreement for Current and Long -Range Planning, and Zoning Services
with NZ Consultants, Inc. on an interim basis in accordance with (or by "piggybacking") the
terms, conditions and pricing established in an existing competitively bid contract between
NZ Consultants, Inc. and the City of Lake Worth, with the maximum amount of compensation
capped at $25,000; and
WHEREAS, through the adoption of Resolution No. 2018-31 on March 22, 2018, the Village
Council approved an Amendment to the Agreement to increase the amount of compensation to
$50,000; and
WHEREAS, Village Staff is requesting approval of a Second Amendment to the Agreement to
increase the amount of compensation to $51,655 to cover the actual amount of services performed
during Fiscal Year 2018; and
WHEREAS, the Village Council determines that the approval of the Second Amendment to the
Agreement is in the best interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves a Second Amendment to the Agreement for
Services with NZ Consultants, Inc. for Current and Long -Range Planning and Zoning Services, a
copy of which is attached hereto and incorporated herein, and authorizes the Mayor and Village
Clerk to execute the Amendment on behalf of the Village. The total compensation paid pursuant
to the Agreement, as amended, shall not exceed $51,655, with funds expended from Account No.
A5206-33190 (Planning — Professional Services).
Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby
repealed to the extent of such conflict.
Section 4.
This Resolution shall be effective

SECOND AMENDMENT TO AGREEMENT FOR SERVICES
THIS SECOND AMENDMENT is made and entered into this 30th day of September,
2018, by and between the VILLAGE OF NORTH PALM BEACH, a Florida municipal
corporation ("VILLAGE") and NZ CONSULTANTS, INC., 1851 West Indiantown Rd, Suite
100, Jupiter, Florida 33458 (CONTRACTOR"), whose Federal I.D. No. is 27-0681325.
WITNESSETH:
WHEREAS, the VILLAGE and CONTRACTOR entered into an Agreement for
Services dated December 14, 2017 ("Agreement") whereby CONTRACTOR agreed to provide
Current and Long -Range Planning and Zoning Services in accordance with (or by
"piggybacking") the terms, conditions and pricing established by an existing competitively bid
Contract for Services between CONTRACTOR and the City of Lake Worth; and
WHEREAS, on March 22, 2018, the Village Council approved an Amendment to the
Agreement to increase the maximum amount of compensation to $50,000; and
WHEREAS, the services performed by CONTRACTOR during Fiscal Year 2018
exceeded the maximum amount of compensation and the parties wish to amend the Agreement to
cover all services performed.
NOW, THEREFORE, in consideration of the mutual representations and obligations set
forth herein and in the Agreement, as amended, and other good and valuable consideration, the
receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
1. Section 5 of the Agreement is hereby amended to increase the total compensation
paid by VILLAGE to CONTRACTOR from not to exceed $50,000 to not to
exceed $51,655.
2. All other provisions of the Agreement, to the extent not expressly modified
herein, shall remain in full force and effect.
