A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA APPROVING A SECOND AMENDMENT
TO AN AGREEMENT WITH GP STRATEGIES CORPORATION FOR
HAZARD PREPAREDNESS, PLANNING, CONSULTING AND RECOVERY
SERVICES PURSUANT TO PRICING ESTABLISHED IN AN EXISTING
CONTRACT WITH THE HOUSTON-GALVESTON AREA COUNCIL AND
AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE THE
SECOND AMENDMENT ON BEHALF OF THE VILLAGE; PROVIDING
FOR CONFLICTS; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, on October 11, 2017, the Village Manager executed an Agreement for Hazard
Preparedness, Planning, Consulting and Recovery Services ("Agreement") in accordance with
(or by "piggybacking") the terms, conditions and pricing established in an existing competitively
bid contract between GP Strategies Corporation and the Houston -Galveston Area Council; and
WHEREAS, through the adoption of Resolution No. 2017-109 on December 14, 2017, the
Village Council approved an Amendment to the Agreement increasing the total amount of
compensation to $47,710.45; and
WHEREAS, Village Administration is in need of additional services and is recommending the
execution of a Second Amendment to the Agreement to increase the compensation to $64,755.52; and
WHEREAS, the Village Council determines that the approval of the Second Amendment to the
Agreement is in the best interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves a Second Amendment to the Agreement for
Hazard Preparedness, Planning, Consulting and Recovery Services with GP Strategies Corporation,
a copy of which is attached hereto and incorporated herein, and authorizes the Mayor and Village
Cleric to execute the Amendment on behalf of the Village. The total compensation paid pursuant
to the Agreement, as amended, shall not exceed $64,755.52, with funds expended from Account
No. A5540-49952 (Hurricane Expense).
Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby
repealed to the extent of such conflict.
Section 4. This Resolution shall be effective immediately upon adoption.

SECOND AMENDMENT TO AGREEMENT FOR HAZARD PREPAREDNESS,
PLANNING, CONSULTING AND RECOVERY SERVICES
THIS SECOND AMENDMENT is made as of this dayof l , 2018,
by and between the VILLAGE OF NORTH PALM BEACH, 501 U.S. Highway O e, North Palm
Beach, Florida 33408, a Florida municipal corporation ("VILLAGE"), and GP STRATEGIES
CORPORATION, 11000 Broken Land Parkway, Suite 200, Columbia, Maryland 21044, a foreign
for-profit corporation authorized to do business in the State of Florida ("CONSULTANT"), whose
Federal Employer Identification Number is 52-0845774.
RECITALS
WHEREAS, the VILLAGE and CONSULTANT entered into an Agreement for Hazard
Preparedness, Planning, Consulting and Recovery Services dated October 11, 2017 ("Agreement")
whereby CONSULTANT agreed to provide planning and consulting services and assistance
relating to FEMA reimbursement for costs incurred as a result of Hurricane Irma in accordance
with (or by "piggybacking") the terms, conditions and pricing established by an existing
competitively bid Contract between CONSULTANT and the Houston -Galveston Area Council;
and
WHEREAS, on December 14, 2017, the parties entered in an Amendment to the
Agreement to increase the total amount of compensation paid by the VILLAGE to
CONSULTANT to $47,710.50; and
WHEREAS, the VILLAGE is still in need of additional services beyond the amended
contract amount, and CONSULTANT has agreed to provide these additional services at the terms,
conditions and pricing previously established.
NOW, THEREFORE, in consideration of the mutual representations and obligations set
forth herein and in the Agreement, as amended, and other good and valuable consideration, the
receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
The foregoing recitals are ratified as true and incorporated herein.
2. Section 4.A of the Agreement is hereby amended to increase the total compensation
paid by the VILLAGE to CONSULTANT from not to exceed $47,710.50 to $64,755.52.
3. All other provisions of the Agreement, as amended, to the extent not expressly
modified herein, shall remain in full force and effect.

IN WITNESS WHEREOF, the VILLAGE and CONSULTANT hereto have made and
executed this Second Amendment to Agreement for Hazard Preparedness, Planning, Consulting
and Recovery Services for the Village of North Palm Beach as of the day and year first above
