A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA APPROVING AN AMENDMENT TO THE
CONTRACT WITH PROSHOT CONCRETE, INC. FOR THE LIGHTHOUSE
BRIDGE REPAIR TO MODIFY THE SCOPE BASED ON FIELD CONDITIONS
AND INCREASE THE AMOUNT OF COMPENSATION; AUTHORIZING THE
MAYOR AND VILLAGE CLERK TO EXECUTE THE AMENDMENT ON
BEHALF OF THE VILLAGE; PROVIDING FOR CONFLICTS; AND PROVIDING
FOR AN EFFECTIVE DATE.
WHEREAS, through the adoption of Resolution 2018-18 on February 22, 2018, the Village Council
approved a Contract with Proshot Concrete, Inc. for the Lighthouse Bridge Repair project; and
WHEREAS, during the course of the project, the parties discovered that the extent of the repairs
was far larger than originally anticipated; and
WHEREAS, the Village Engineer has verified the revised quantities to complete the project, and
the parties wish to execute an Amendment to modify the scope and increase the compensation
paid to the Contractor; and
WHEREAS, the Village Council determines that the adoption of this Resolution is in the best
interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves an Amendment to the Contract with Proshot
Concrete, Inc. for the Lighthouse Bridge Repairs to modify the scope and increase the total
contract amount to $250,000, with funds expended from Account No. I7321-66210
(Infrastructure Surtax Fund — Public Works/Streets & Grounds — Construction and Major Renovation).
Section 3. The Village Council authorizes the Mayor and Village Clerk to execute the
Amendment on behalf of the Village, a copy of which is attached hereto and incorporated herein.
Section 4. All resolutions or parts of resolutions in conflict with this Resolution are hereby
repealed to the extent of such conflict.
Section 5_ This Resolution shall be effective immediately upon adoption.

AMENDMENT TO CONTRACT
THIS AMENDMENT is made as of th� day of r�.Q , 2018 ("Effective Date"),
by and between the VILLAGE OF NORTH PALM BEACH, a municipal corporation organized
and existing under the laws of the State of Florida, hereinafter referred to as VILLAGE, and
PROSHOT CONCRETE, INC., a Florida corporation, hereinafter referred to as the
CONTRACTOR, whose Federal I.D. is 20-5269497.
WHEREAS, the parties entered in a Contract dated February 22, 2018 for the Lighthouse Bridge
Repair project ("Contract"); and
WHEREAS, the pricing for the Contract was based on 40 cubic feet for the seawall cap repair; and
WHEREAS, during the course of construction, the parties discovered that the extent of the repairs
will require a total of 240 cubic feet of concrete for the seawall cap repair and additional
reinforcing steel; and
WHEREAS, the Village Engineer has verified the revised quantities to complete the project, and
the parties wish to execute this Amendment to reflect the modified scope and increased
compensation to CONTRACTOR.
NOW, THEREFORE, in consideration of the promises and mutual covenants contained in the
Contact and this Amendment, the receipt and sufficiency of which are hereby acknowledged, the
parties agree as follows:
1. The foregoing recitals are hereby ratified and incorporated herein.
2. The Project Scope is hereby modified as reflected in the Continuation Sheet (AIA
Document G702) attached hereto and incorporated herein.
3. Article 4(A) of the Contact is hereby modified to increase to the total and cumulative
amount of the Contract to not to exceed TWO HUNDRED AND FIFTY THOUSAND DOLLARS
AND NO CENTS ($250,000.00).
4. To the extent not expressly modified herein, all other provisions of the Contract shall
remain in full force and effect. In the event of an express conflict between this Amendment and
the Contract, the terms of this Amendment shall control.
IN WITNESS WHEREOF, the VILLAGE and CONTRACTOR hereto have made and executed
this Amendment as of the day and year first above written.
