/ A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA APPROVING AN AMENDMENT TO AN
AGREEMENT WITH KNIGHT ELECTRICAL COMPANY, INC. FOR
ELECTRICAL MAINTENANCE AND REPAIR SERVICES AND APPROVING
A BLANKET PURCHASE ORDER IN AN AMOUNT NOT TO EXCEED $25,000;
AND PROVIDING FOR EFFECTIVE DATE.
WHEREAS, on February 13, 2018, the Village Manager executed an Agreement for Electrical
Maintenance and Repair Services with Knight Electric Company, Inc. pursuant to pricing
established through a Request for Quotes process; and
WHEREAS, in accordance with the Village's Purchasing Policies and Procedures, the amount of
compensation was capped at $10,000; and
WHEREAS, Village Administration is in need of additional electrical maintenance and repair
services through the end of the fiscal year and is requesting the amendment of the Agreement
and the approval of a blanket purchase order in an amount not to exceed $25,000; and
WHEREAS, in accordance with the Village's Purchasing Policies and Procedures, all agreements
and blanket purchase orders in excess of $10,000 require Village Council approval; and
WHEREAS, the Village Council determines that the approval of this Resolution and the waiver
of any purchasing policies are in the best interests of the residents and citizens of the Village of
North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves an Amendment to the Agreement for
Electrical Maintenance and Repair Services with Knight Electric Company, Inc., a copy of which
is attached hereto and incorporated herein, and authorizes the Mayor and Village Clerk to
execute the Amendment on behalf of the Village. The Village Council further approves the
issuance of a blanket purchase order utilizing the pricing established in the Agreement in an
amount not to exceed $25,000, with funds expended from Account No. A5519-33491 (Facility
Services — Contractual Services).
Section 3.
This Resolution shall be effective immediately upon adoption.

AMENDMENT TO AGREEMENT FOR ELECTRICAL
MAINTENANCE AND REPAIR SERVICES
This Amendment is made as of the oUlt day of _10,4WX , 2018, by and between the
VILLAGE OF NORTH PALM BEACH, 501 U.S. Highway One, North Palm Beach, Florida,
33408, a Florida municipal corporation ("VILLAGE"), and KNIGHT ELECTRIC COMPANY,
INC., 7513 Central Industrial Drive, Riviera Beach, Florida 33404, a Florida corporation
("CONTRACTOR"), whose Federal I.D. No. is 59-0870762.
RECITALS
WHEREAS, the VILLAGE and CONTRACTOR entered into an Agreement for Electrical
Maintenance and Repair Services dated February 13, 2018, whereby CONTRACTOR agreed to
provide electrical and maintenance repair services on as as -needed basis pursuant to pricing
established through a Request for Quote process; and
WHEREAS, the VILLAGE is in need of additional services beyond the initial estimated contract
amount; and
WHEREAS, CONTRACTOR has agreed to provide these additional services at the terins,
conditions and pricing previously established.
NOW THEREFORE, in consideration of the mutual promises set forth herein in the
Agreement and other good and valuable consideration, the receipt and sufficiency of which
are hereby acknowledged, the parties hereto agree as follows:
1. Section 5 of the Agreement is hereby amended to increase the total compensation paid
by the VILLAGE to CONTRACTOR from not to exceed $10,000 to not to exceed $25,000.
2. All other provisions of the Agreement, to the extent not expressly modified herein,
shall remain in full force and effect.
IN WITNESS WHEREOF, the VILLAGE and CONTRACTOR hereto have made and executed
this Agreement as of the day and year first above written.
