/ A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA APPROVING AN AMENDMENT TO THE
CONSTRUCTION MANAGEMENT CONSULTING SERVICES CONTRACT
WITH GAUDET ASSOCIATES, INC. AND AUTHORIZING THE MAYOR
AND VILLAGE CLERK TO EXECUTE SAME; PROVIDING FOR CONFLICTS;
AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, subsequent to the Village's issuance of a Request for Proposals for Construction
Management Consulting Services ("RFP") for the North Palm Beach Country Club clubhouse
project ("Project"), the Village Council approved a Contract with Gaudet Associates, Inc.
("Contract") through the adoption of Resolution 2017-32 on April 13, 2017; and
WHEREAS, as contemplated by the Contract, the Village wishes to extend the Contract through
the completion of the Project in accordance with the hourly rates set forth in Gaudet's Proposal
submitted in response to the RFP; and
WHEREAS, the parties wish to execute an Amendment to the Contract to extend the term of the
Contract, provide for a revised scope of services, and provide for the maximum amount of
compensation to paid by the Village to Gaudet; and
WHEREAS, the Village Council determines that the execution of the Amendment to the
Contract is in the best interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council of the Village of North Palm Beach, Florida, hereby
approves an Amendment to the Contract for Construction Management Consulting Services with
Gaudet Associates, Inc., a copy of which is attached hereto and incorporated herein by reference,
at a total not to exceed cost of $339,356 for the entire term ($52,750 was already approved by
Resolution No. 2017-32) with funds expended from Account No. K7600-66210 (Country Club
Clubhouse Project — Construction and Major Renovation). The Village Council further
authorizes the Mayor and Village Clerk to execute the Amendment on behalf of the Village.
Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby
repealed to the extent of such conflict.
Section 4. This Resolution shall take effect immediately upon adoption.

AMENDMENT TO CONTRACT FOR CONSULTING
MANAGEMENT SERVICES
This Amendment is made as of the 2/1day of 2017, by and between the
VILLAGE OF NORTH PALM BEACH, a municipal corporation organized and existing under
the laws of the State of Florida, by and through its Village Council, hereinafter referred to as the
VILLAGE, and GAUDET ASSOCIATES, INC., a Florida corporation, hereinafter referred to as
CONSULTANT, whose Federal I.D. is 65-0609872.
WHEREAS, subsequent to the VILLAGE's issuance of a Request for Proposals ("RFP"), the
VILLAGE and CONSULTANT entered into a Contract for Construction Management Consulting
Services dated April 13, 2017 ("Contract") for the North Palm Beach Country Club construction
project ("Project"); and
WHEREAS, the Contract was for an initial term of six months; and
WHEREAS, the Contract provides if the VILLAGE extends the Contract beyond the initial term,
the VILLAGE shall compensate CONSULTANT in accordance with the hourly rates identified in
CONSULTANT's Proposal submitted in response to the RFP; and
WHEREAS, parties wish to extend the Contract through the duration of the Project and provide
for additional compensation to CONSULTANT in accordance the hourly fee schedule.
NOW, THEREFORE, in consideration of the promises and mutual covenants contained in the
Contract and this Amendment, and other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, the parties agree as follows:
SECTION 1: RECITALS.
The foregoing recitals are ratified and incorporated herein.
SECTION 2: EXTENSION OF CONTRACT
The term of the Contract is hereby extended, retroactive to October 15, 2017, through the
completion of the Project or December 31, 2019, whichever shall last occur.
SECTION 3: SCOPE OF ADDITIONAL SERVICES
CONSULTANT shall provide project management/owner's representative services throughout the
term of the Contract, as set forth in Exhibit "A" attached hereto and incorporated herein by
reference.
SECTION 4: COMPENSATION
The total amount of compensation paid by the VILLAGE to CONSULTANT for the entire term
of this Contract shall not exceed Three Hundred and Thirty -Nine Thousand Three Hundred
and Fifty -Six Dollars and No Cents ($339,356.00) ($52,750.00 for the initial term and $286,606
for the extended term).

SECTION 5: CONFLICTS
All other provisions of the Contract, to the extent not expressly modified herein, shall remain in
full force and effect.
IN WITNESS WHEREOF, the VILLAGE and CONSULTANT hereto have made and executed
this Amendment as of the day and year first above written.
