02-07-2017 VC SP-MMINUTES OF THE SPECIAL SESSION VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA FEBRUARY 7, 2017 Present: David B. Norris, Mayor Doug Bush, Vice Mayor Darryl C. Aubrey, Sc.D., President Pro Tern Robert A. Gebbia, Councilmember Mark Mullinix, Councilmember Samia Janjua, Interim Village Manager Len Rubin, Village Attorney Melissa Teal, Village Cleric ROLL CALL Mayor Norris called the meeting to order at 6:00 p.m. All members of Council were present. All members of staff were present. VILLAGE MANAGER SELECTION By written ballot, the originals of which are attached to the minutes of record, the Council selected Andrew Lukasik for the position of Village Manager, Councilmember Gebbia moved to appoint Andrew Lukasik as Village Manager and to direct the Mayor and Village Attorney to negotiate an employment agreement. The motion was seconded by Vice Mayor Bush. The motion passed unanimously. Discussion took place regarding salary, benefits, and residency. LOAN FINANCING FOR NORTH PALM BEACH COUNTRY CLUB CLUBHOUSE AND FACILITIES Mrs. Janjua stated that at the February 2, 2017 meeting of the Audit Committee, PFM Financial Advisors, LLC presented the summary of two proposals received in response to the Country Club Loan Request for Proposals (RFP). Mrs. Janjua reported the Audit Committee recommended accepting the proposal from Pinnacle Public Finance, Inc. Bond Counsel Skip Miller of Greenspoon Marder, P.A. stated that due to the Operator Agreement with the Luger Group to Conduct Restaurant and Banquet Operations, financing for the clubhouse project would be partially taxable per IRS regulations. Mr. Miller reviewed the proposals received from Capital One Public Funding, LLC and Pinnacle Public Finance, Inc. Mr. Miller reported the first interest payment would be due December 1, 2017 and the first principal payment would be due June 1, 2018. Discussion ensued regarding prepayment of the loan and reinvestment of loan proceeds. Discussion took place regarding the capital investment to be made by the Luger Group. A motion was made by Councilmember Gebbia and seconded by Vice Mayor Bush to accept the blended tax - exempt /taxable option offered by Pinnacle Public Finance, Inc. Thereafter, the motion passed unanimously. A resolution approving the loan will be placed on the March 9, 2017, with the loan closing to take place on March 22, 2017.
