A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA APPROVING AN AMENDMENT TO A
CONSULTING AGREEMENT WITH MERLE GOLDBERG FOR FINANCE
SERVICES AND AUTHORIZING THE MAYOR AND VILLAGE CLERK TO
EXECUTE THE AMENDMENT ON BEHALF OF THE VILLAGE; AND
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, on August 24, 2016, the Village Manager executed a Consulting Agreement with
Merle Goldberg to perform finance services; and
WHEREAS, in accordance with the Village's Purchasing Policies and Procedures, the amount of
compensation was capped at $10,000; and
WHEREAS, Village Administration is in need of additional finance consulting services and is
recommending the execution of an Amendment to the Agreement to increase the compensation
to $25,000; and
WHEREAS, the Village Council determines that the approval of the Amendment to the Contract is
in the best interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves an Amendment to the Consulting Agreement
with Merle Goldberg for finance services, a copy of which is attached hereto and incorporated
herein, and authorizes the Mayor and Village Clerk to execute the Amendment on behalf of the
Village. The total compensation paid pursuant to the Amendment shall not exceed $25,000, with
funds expended from Account No. A5003 -33491 (Finance — Contractual Services).

AMENDMENT TO CONSULTING AGREEMENT
THIS AMENDMENT is made and entered into this 4jVA day of January, 2017, by and
between the VILLAGE OF NORTH PALM BEACH, a Florida municipal corporation
( "VILLAGE ") and MERLE GOLDBERG, 305 Eagleton Golf Drive, Palm Beach Gardens,
Florida 33418 ( "CONSULTANT ").
WITNESSETH:
WHEREAS, the VILLAGE and CONSULTANT entered into a Consulting Agreement
dated August 24, 2016 whereby CONSULTANT would perform services for the Finance
Department on an as needed basis; and
WHEREAS, the VILLAGE's Finance Department is in need of adding additional
services beyond the initial estimated contract amount; and
WHEREAS, CONSULTANT has agreed to provide these additional services at the
terms, conditions and pricing previously established.
NOW, THEREFORE, in consideration of the mutual representations and obligations set
forth herein and in the Agreement, as amended, and other good and valuable consideration, the
receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
1. Section 3.1) of the Agreement is hereby amended to increase the total
compensation paid by VILLAGE to CONSULTANT from not to exceed $10,000
to not to exceed $25,000.
2. All other provisions of the Agreement, to the extent not expressly modified
herein, shall remain in full force and effect.
