A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA APPROVING AN AMENDMENT TO
THE CONTRACT WITH IMAGE JANITORIAL SERVICES, INC. TO MODIFY
THE SCOPE OF WORK AND AUTHORIZING THE MAYOR AND VILLAGE
CLERK TO EXECUTE THE AMENDMENT ON BEHALF OF THE VILLAGE;
PROVIDING FOR CONFLICTS; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, through the adoption of Resolution No. 2015 -63 on September 24, 2015, the
Village Council awarded a three (3) year Contract for municipal facilities janitorial services to
Image Janitorial Services Inc.; and
WHEREAS, in accordance with Article 18 of the Contract, the Village wishes to modify the
Scope of Work to remove the Country Club restaurant operations and to add specialty deep
cleaning services; and
WHEREAS, the Village Council determines that the approval of an Amendment to the Contract
is in the best interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves an Amendment to the Contract for
Municipal Janitorial Services with Image Janitorial Services, Inc., a copy of which is attached
hereto and incorporated herein, and authorizes the Major and Village Clerk to execute the
Amendment on behalf of the Village. The Amendment results in a net reduction in annual
compensation of $4,401.56, with $21,360 reduced from Account No. L8053 -33491 (Food and
Beverage — Contractual Services) and $16,958.44 expended from Account No. A5519 -33491
(Facility Services — Contractual Services).
Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby
repealed to the extent of such conflict.
Section 4. This Resolution shall take effect immediately upon adoption.

AMENDMENT TO CONTRACT
THIS AMENDMENT is made and entered into this 8th day of December, 2016, by and between
the Village of North Palm Beach, Florida, a Florida municipal corporation, hereinafter referred to
as VILLAGE and Image Janitorial Services, Inc., a Florida corporation, hereinafter referred to as
CONTRACTOR, whose Federal I.D. is 65- 0273834.
WHEREAS, the VILLAGE and the CONTRACTOR executed a Contract dated September 24,
2015 ( "Contract ") to provide all goods and services necessary for municipal facility janitorial
services as required under the Request for Proposals issued by the VILLAGE; and
WHEREAS, Article 18(A) of the Contract provides that the VILLAGE reserves the right to
make changes to the scope of work upon notification to CONTRACTOR, and upon such
notification, CONTRACTOR shall provide an estimate for the increased or decreased
compensation based on such modification; and
WHEREAS, the VILLAGE and CONTRACTOR have agreed to a modification of the scope of
work and total compensation and wish to execute an Amendment to the Contract as required by
Article 18(B) of the Contract.
NOW, THEREFORE, in consideration of the promises and mutual covenants herein contained,
and other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the VILLAGE and CONTRACTOR agree as follows:
1. Retroactive to October 1, 2016, the Scope of Work identified in the Request for Proposals
incorporated into the Contract is hereby modified as follows:
A. All services for the Country Club restaurant operations are deleted.
B. Additional specialty services are added in accordance with a Proposal prepared by the
CONTRACTOR, a copy of which is attached hereto and incorporated herein.
2. The changes in the Scope of Work result in a reduction in the annual compensation to the
CONTRACTOR of $4,401.56 (reduction of $21,360 for deletion of Country Club restaurant
operations and addition of $16,958.44 for specialty services).
3. All other provisions of the Contract, to the extent not expressly modified herein, shall
remain in full force and effect.

Upon the following terms:
All staff, cleaning supplies, and equipment will be furnished by Image Janitorial.
Image Janitorial Services, Inc. will start services upon receiving a Purchase Order from client or a
signature on this Service Agreement., either one must be received 3 business days prior to start of
services.
