A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, APPROVING AN AMENDMENT TO
THE LEGAL SERVICES AGREEMENT WITH LEONARD G. RUBIN, P.A.
AND TORCIVIA, DONLON, GODDEAU & ANSAY, P.A. TO INCREASE
THE HOURLY RATE FOR ATTORNEYS AND AUTHORIZING THE
MAYOR AND VILLAGE CLERK TO EXECUTE THE AMENDMENT;
PROVIDING FOR CONFLICTS; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, through the adoption of Resolution 2006 -62, the Village Council approved a Legal
Services Agreement with Leonard G. Rubin, P.A. and Torcivia, Donlon, Goddeau & Ansay, P.A.
(f /k/a Law Office of Glen J. Torcivia and Associates, P.A.) for Village Attorney Services; and
WHEREAS, the parties wish to amend the Agreement to increase the hourly rate for attorneys
providing services; and
WHEREAS, the Village Council determines that the adoption of this Resolution is in the best
interests of the residents and citizens of the Village.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA, as follows:
Section 1. The foregoing recitals are ratified and incorporated herein.
Section 2. The Village Council hereby approves an Amendment to the Legal Services
Agreement with Leonard G. Rubin, P.A. and Torcivia, Donlon, Goddeau & Ansay, P.A. (f /k/a
Law Office of Glen J. Torcivia and Associates, P.A.) for Village Attorney Services, a copy of
which is attached hereto and incorporated herein, and authorizes the Mayor and Village Clerk to
execute the Amendment on behalf of the Village.
Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby
repealed to the extent of such conflict.
Section 4. This Resolution shall be effective immediately upon adoption.

AMENDMENT TO LEGAL SERVICES AGREEMENT
THIS AMENDMENT is made and entered into this day of September, 2016 by
and between the Village of North Palm Beach, a Florida municipal corporation (hereinafter
"Village ") and Leonard G. Rubin, P.A., a Florida corporation, and Torcivia, Donlon, Goddeau
and Ansay, P.A. (f /k /a Law Office of Glen J. Torcivia and Associates, P.A.), a Florida
corporation (herein after "Firms ").
WHEREAS, the parties entered into an Agreement dated August 28, 2006
("Agreement") whereby the Firms agreed to provide legal services as Village Attorney; and
WHEREAS, the parties wish to modify the Agreement to increase the hourly rate for
services rendered by attorneys of the Firms.
NOW, THEREFORE, in consideration of the mutual promises set forth in the
Agreement and other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the parties agree as follows:
1. Effective October 1, 2016, Section 2 of the Agreement is hereby amended to
increase the compensation for attorneys providing legal services to $195.00 an hour.
2. All other provisions of the Agreement, to the extent not expressly modified
herein, shall remain in full force and effect.
