A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, APPROVING A SECOND AMENDMENT
TO THE CONTRACT FOR JANITORIAL SERVICES AT VILLAGE FACILITIES
WITH IMAGE JANITORIAL SERVICES, INC. TO MODIFY THE SCOPE OF
SERVICES AND ANNUAL COMPENSATION AND TO EXTEND THE TERM;
AUTHORIZING THE MAYOR AND VILLLAGE TO CLERK TO EXECUTE SAME;
PROVIDING FOR CONFLICTS; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, through the adoption of Resolution No. 2010 -34 on June 24, 2010, the Village Council
approved a Contract for Janitorial Services of Village Facilities with Image Janitorial Services, Inc.
( "Contract "); and
WHEREAS, through the adoption of Resolution No. 2011 -10 on February 24, 2011, the Village
approved a First Amendment to the Contract to modify the scope of services to include the
Country Club Restaurant and adjust the annual compensation; and
WHEREAS, the Village and Image Janitorial Services, Inc. have agreed to execute a Second
Amendment to the Contract to ratify and formally recognize changes in the scope of services and
annual compensation that have occurred since the date of the First Amendment relating to the
deletion of the Anchorage Park Modules and the addition of the Community Development Department
offices and to extend the term of the Contract through September 30, 2015; and
WHEREAS, the Village Council determines that the adoption of this Resolution is in the best
interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are hereby ratified and incorporated herein.
Section 2. The Village Council hereby approves the Second Amendment to the Contract for
Janitorial Services at Village Facilities with Image Janitorial Services, Inc., a copy of which is
attached hereto and incorporated herein, and authorizes the Mayor and Village Clerk to execute
the Second Amendment on behalf of the Village.
Section 3. All resolutions or parts of resolutions in conflict herewith are hereby repealed to
the extent of such conflict.
Section 4. This Resolution shall take effect immediately upon adoption.

SECOND AMENDMENT TO CONTRACT FOR JANITORIAL SERVICES
AT VILLAGE FACILITIES
VILLAGE OF NORTH PALM BEACH
This Second Amendment is made as of the "4,- day of , 2015, by and
between the VILLAGE OF NORTH PALM BEACH, a municipal corporation organized and
existing under the laws of the State of Florida, hereinafter referred to as the VILLAGE, and IMAGE
JANITORIAL SERVICES, INC., a corporation authorized to do business in the State of Florida,
hereinafter referred to as the CONTRACTOR.
WHEREAS, the VILLAGE and CONTRACTOR entered into a Contract for Janitorial
Services at Village Facilities ( "Contract ") dated June 24, 2010; and
WHEREAS, on February 24, 2011, the VILLAGE and CONTRACTOR entered into a First
Amendment to the Contract ( "First Amendment ") to modify the scope of services to include the
Country Club Restaurant and adjust the annual compensation; and
WHEREAS, the parties wish to again amend the Contract to formally recognize changes to
the scope of services and the annual compensation since the effective date of the First Amendment
and to extend the term of the Contract.
NOW, THEREFORE, in consideration of the promises and mutual covenants herein
contained, and other good and valuable consideration, the receipt and sufficiency of which is
acknowledged, the parties agree as follows:
1. The foregoing recitals are hereby ratified and incorporated herein.
2. Section 1 of the Contract, "Goods and Services of the Contractor," is hereby amended
to exclude the daily cleaning of the Anchorage Park Modules retroactive to June 2012, and to
include the daily cleaning of the Community Development Department offices located at 420 U.S.
Highway One, Suite 21, North Palm Beach, Florida retroactive to June 2014.
3. The compensation paid by the VILLAGE to CONTRACTOR is hereby amended to
decrease the annual compensation by $7,608.00 (or by $634.00 per month), on a pro rata basis
retroactive to June 2012 for the daily cleaning of the Anchorage Park Modules, and to increase the
annual compensation by $6,960.00 (or $580.00 per month), on a pro rata basis retroactive to June
2014 for the daily cleaning of the Community Development offices. The VILLAGE and
CONTRACTOR expressly agree and acknowledge that CONTRACTOR has received all
compensation due and owing based on such adjustments retroactive to their effective dates.
4. Section 2 of the Contract, "Term of the Contract," is hereby amended to extend the
term through September 30, 2015.
5. All other provisions of the Contract and First Amendment, to the extent not
expressly modified herein, shall remain in full force and effect.
