A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH
PALM BEACH, FLORIDA, APPROVING A SECOND AMENDMENT TO THE
COMMUNICATIONS SITE LEASE AGREEMENT WITH VERIZON WIRELESS
PERSONAL COMMUNICATIONS, L.P. AND AUTHORIZING THE MAYOR
AND VILLAGE CLERK TO EXECUTE SAME; PROVIDING FOR CONFLICTS;
AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, through the adoption of Resolution 82 -2001, the Village approved and executed a
Communications Site Lease Agreement (Ground) with Primeco Personal Communications Limited
Partnership n/k/a Verizon Wireless Personal Communications LP d/b /a Verizon Wireless ( "Verizon ")
for the erection of a telecommunications tower and the installation of related equipment adjacent to
the Village Community Center; and
WHERAS, through the adoption of Resolution 2013 -57, the Village approved and executed a
First Amendment to the Lease Agreement to add an area to the leased premises for the installation
of a diesel generator and fuel tank, together with a utility easement across the parking lot in
exchange for an increase in the monthly rent; and +
WHEREAS, the Village received a request from Verizon to again amend the Lease Agreement to
add approximately 136 square feet of ground space to install HVAC condenser units and an
easement necessary to connect such units to the existing ground space in exchange for a $650.00
increase in monthly rent; and
WHEREAS, pursuant to Section 45 -21 of the Village Code, the Village Planning Commission
reviewed the required screening associated with the newly installed equipment; and
WHEREAS, the Village Council determines that the adoption of this Resolution is in the best
interests of the residents and citizen of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves the Second Amendment to the
Communications Site Lease Agreement (Ground) with Verizon Wireless Personal Communications LP
d /b /a Verizon Wireless, a copy of which is attached hereto and incorporated herein, and authorizes
the Mayor and Village Clerk to execute the Second Amendment on behalf of the Village as well the
associated Second Amended Memorandum of Agreement.
Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby
repealed to the extent of such conflict.
Section 4. This Resolution shall be effective immediately upon adoption.

SECOND AMENDMENT TO COMMUNICATIONS
SITE LEASE AGREEMENT (GROUND)
This Second Amendment to C municat' s Site Lease Agreement (Ground) (this
"Second Amendment ") is made this day of , 2016(-the "Effective Date "),
by and between VILLAGE OF NORTH P BEAC , a Florida municipal corporation
( "Lessor "), and VERIZON WIRELESS PERSONAL COMMUNICATIONS LP, a Delaware
limited partnership d/b /a Verizon Wire less'( "Lessee ").
WHEREAS, Lessor and Lessee (f /k/a PrimeCo Personal Communications Limited
Partnership d /b /a Verizon Wireless) entered into that certain Communications Site Lease
Agreement (Ground) dated November 13, 2001, as amended by that certain First Amendment to
Communications Site Lease Agreement (Ground) dated December 19, 2013 (together, the
"Lease "), pursuant to which Lessor leases to Lessee certain premises as more particularly
described in the Lease (the "Premises "); and
WHEREAS, Lessor and Lessee desire to amend the Lease as provided herein.
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency
of which is hereby acknowledged, the parties hereto agree to be legally bound to this Second
Amendment as follows:
1. Capitalized terms not defined in this Second Amendment shall have the same meaning as
such terms have in the Lease.
2. Lessor agrees that Lessee shall be permitted to: (a) add to the Premises approximately
one hundred thirty five point ninety four (135.94) square feet of ground space as
described in Exhibit "B -2" attached hereto and incorporated herein by reference (the
"HVAC Ground Space ") within which to install two (2) HVAC condensor units, together
with a five (5) foot wide cable easement extending from the HVAC Ground Space to the
existing Premises, which easement is also as described in Exhibit "B -2" attached hereto
(the "Cable Easement "); (b) make certain equipment modifications within its existing
Premises as more particularly set forth in Exhibit "13-2 ", and (c) install such wires,
cables, conduits and pipes as necessary (i) between the HVAC Ground Space and the
existing Premises and (ii) to connect any of the aforementioned equipment to all
necessary electrical and telephone utility sources located on the Land, including, without
limitation, the improvements thereon (all of the foregoing are collectively, the "New
HVAC Equipment "). Lessor additionally grants Lessee a non - exclusive easement for the
installation, inspection, maintenance /upkeep, removal, expansion and replacement of
landscaping and /or block walls around the HVAC Ground Space (the "HVAC
Landscaping Easement "). The definition of "Premises" in the Lease is hereby amended
to include the HVAC Ground Space, Cable Easement, New HVAC Equipment and
HVAC Landscaping Easement. Portions of the New HVAC Equipment shall be installed

in the locations depicted on the site plan appearing on Exhibit "B -2" attached hereto and
incorporated herein by reference.
3. Exhibits "B" and `B -1" to the Lease Agreement is hereby supplemented by Exhibit "B -2"
attached to this Second Amendment. From and after the Effective Date, any references to
Exhibits "B" and `B -1" to the Lease shall be deemed to refer collectively to Exhibits "B"
and "B -1" to the Lease Agreement and Exhibit "B -2" attached to this Second
Amendment.
4. The monthly rent due under the Lease shall be increased by Six Hundred Fifty and
XX /100 Dollars ($650.00) (the "Rent Increase ") and shall continue to increase in
accordance with Section 5(b) of the Lease. The Rent Increase shall be based upon the
date Lessee is granted a building permit by the governmental agency charged with issuing
such permits, or the date of execution of this Second Amendment by the parties, whichever
is later. In the event the date at which Lessee is granted a building permit or the date of
execution of the Amendment, whichever is applicable, falls between the 1St and 15th of
the month, the Rent Increase shall commence on the 1St of that month and if such date
falls between the 16th and 31St of the month, then the Rent Increase shall commence on
the Pt day of the following month (either, the "Rent Increase Commencement Date ").
Lessor and Lessee acknowledge and agree that increased rental payment(s) may not
actually be sent by Lessee until thirty (30) days after the Rent Increase Commencement
Date.
5. This Amendment shall be effective upon execution by both parties.
6. The parties hereby reaffirm their rights and obligations under the Lease as modified by
this Second Amendment. In the event of any inconsistencies between the Lease and this
Second Amendment, the terms of this Second Amendment shall control. The Lease and
this Second Amendment contain all agreements, promises or understandings between
Lessor and Lessee and no verbal or oral agreements, promises or understandings shall be
binding upon either Lessor or Lessee in any dispute, controversy, or proceeding at law,
and any addition, variation or modification to the Lease and Amendment shall be void
and ineffective unless made in writing and signed by the parties. In the event any
provision of the Lease or Amendment is found to be invalid or unenforceable, such a
finding shall not affect the validity and enforceability of the remaining provisions of the
Lease or Amendment.

Beach, Florida 33408 ( "Lessor "), and VERIZON WIRELESS PERSONAL COMMUNICATIONS
LP, a Delaware limited partnership d /b /a Verizon Wireless, with its principal office located at One
Verizon Way, Mail Stop 4AW100, Basking Ridge, New Jersey 07920 ( "Lessee "). Lessor and Lessee are
at times collectively referred to hereinafter as the "Parties" or individually as the "Party".
1. Lessor and PrimeCo Personal Communications, Limited Partnership (now known as
Lessee, "PrimeCo ") entered into that certain Communications Site Lease Agreement (Ground) dated
November 13, 2001, as amended by that certain First Amendment to Communications Site Lease
Agreement (Ground) dated December 19, 2013 (together, the "Lease "), pursuant to which Lessor leases
to Lessee certain Premises, as defined and more fully described in the Lease, and documented by that
certain Memorandum of Agreement by and between Lessor and PrimeCo, dated November 13, 2001 and
recorded on November 30 2001, in Book 13132, Page 1854 of the Official Records of Palm Beach
County, Florida, as amended by that certain Amended Memorandum of Agreement by and between
Lessor and Lessee, dated December 19, 2013 and recorded on December 27, 2013, in Book 26528, Page
1044 of the Official Records of Palm Beach County, Florida (together, the "Memorandum ").
2. Lessor and Lessee a red into that certain Second Amendment to Communications Site
Lease Agreement (Ground) dated , 201.E (the "Amendment ") and the Parties desire to
amend the Memorandum as more fully set forth Aerein.
3. The Parties have agreed to expand the Premises under the Lease to include approximately
one hundred thirty five point ninety four (135.94) square feet of ground space on Lessor's property (the
"Ground Space ") , together with a five (5) foot wide cable easement extending from the Ground Space to

the existing Premises (the "Cable Easement "). The Ground Space and Cable Easement are described in
Exhibit "B -2" attached hereto and incorporated herein by this reference. Exhibits `B" and `B -1" to the
Memorandum are. hereby supplemented with Exhibit `B -2" attached to this Second Amended
Memorandum. All references in the Memorandum to Exhibits `B" and `B -1" shall mean and refer
collectively to Exhibits `B" and `B -1" attached to the Memorandum and to Exhibit "B -2" attached hereto.
4. Except as necessary to conform hereto, all of the terms and conditions of the Memorandum
shall remain in full force and effect, and shall extend to and be binding upon the respective executors,
administrators, heirs, successors and assigns of Lessor and Lessee.
