A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, APPROVING AN AMENDMENT TO
THE CONTINUING CONTRACT FOR PROFESSIONAL ENGINEERING
SERVICES WITH ENGENUITY, INC. TO EXTEND THE TERM OF THE
CONTRACT; PROVIDING FOR CONFLICTS; AND PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, based on statements received in response to the Village's Request for Qualifications to
provide professional engineering services, on May 12, 2011, the Village entered into a Continuing
Contract for Engineering Services with Engenuity, Inc. ( "Contract "); and
WHEREAS, Section 12.A of the Contract provides for a term of three years, and allows the Village,
in its discretion, to extend the Contract for two additional one -year terms; and
WHEREAS, the Village wishes to extend the term for an additional one year term, retroactive to
May 13, 2014, and provide a procedure for additional renewal; and
WHEREAS, the Village Council determines that the approval of the Amendment to the Contract is
in the best interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves the Amendment to the Continuing Contract
for Professional Engineering Services with Engenuity, Inc., a copy of which is attached hereto
and incorporated herein, and authorizes the Mayor and Village Clerk to execute the Amendment
on behalf of the Village.
Section 3. All resolutions or parts of resolution in conflict with this Resolution are hereby
repealed to the extent of such conflict.
Section 4. This Resolution shall be effective retroactive to May 13, 2014.

AMENDMENT TO CONTINUING CONTRACT FOR
PROFESSIONAL ENGINEERING SERVICES
THIS AMENDMENT is made as of the day of AeQ,�7Z , 2014, by and between
the VILLAGE OF NORTH PALM BEACH, a municipal corporation organized and existing
under the laws of the State of Florida, hereinafter referred to as VILLAGE, and ENGENUITY
GROUP INC., a Florida corporation, hereinafter referred to as ENGINEER.
WHEREAS, the VILLAGE and ENGINEER executed a Continuing Contract for Professional
Engineering Services dated May 12, 2011 ( "Contract ") for municipal engineering services on an
as needed basis; and
WHEREAS, Section 12 of the Contract provides for a term of three years from the effective date,
with two additional one year renewals at the discretion of the VILLLAGE; and
WHEREAS, the VILLAGE wishes to extend the Contract for an additional one year term.
NOW, THEREFORE, in consideration of the promises and mutual covenants herein contained,
and other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the VILLAGE and CONTRACTOR agree as follows:
1. The Term of the Contract is hereby extended for an additional one year period,
retroactive to May 13, 2014. In the event that the VILLAGE wishes to exercise its option to
extend the Contract for the remaining additional one year term, the VILLAGE may, through its
Village Manager, provide written notice to ENGINEER without the need for an additional
amendment to this Contract.
2. All other provisions of the Contract, to the extent not expressly modified herein, shall
remain in full force and effect.
IN WITNESS WHEREOF, the VILLAGE and CONTRACTOR hereto have made and executed
this Amendment to Continuing Contract for Engineering Service as of the day and year first
above written.
