2013-57 First Amendment to Communications Site Lease Agreement with VerizonRESOLUTION 2013 -57 A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA, APPROVING A FIRST AMENDMENT TO THE COMMUNICATIONS SITE LEASE AGREEMENT WITH VERIZON WIRELESS PERSONAL COMMUNICATIONS, L.P. AND AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE SAME; PROVIDING FOR CONFLICTS; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, through the adoption of Resolution 82 -2001, the Village approved and executed a Communications Site Lease Agreement (Ground) with Primeco Personal Communications Limited Partnership n/k/a Verizon Wireless Personal Communications LP d /b /a Verizon Wireless ( "Verizon ") for the erection of a telecommunications tower and the installation of related equipment adjacent to the Village Community Center; and WHEREAS, the Village received a request from Craig and Associates, agent for Verizon, to amend the Lease Agreement to add an eight by ten foot area to the leased premises for the installation of a diesel generator and fuel tank, together with a five foot wide utility easement across the Community Center parking lot, in exchange for a $500 increase in monthly rent; and WHEREAS, pursuant to Section 45 -21 of the Village Code, the Village Planning Commission reviewed the wall placement and landscaping associated with the newly installed equipment; and WHEREAS, the Village Council determines that the adoption of this Resolution is in the best interests of the residents and citizen of the Village of North Palm Beach. NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA, as follows: Section 1. The foregoing recitals are ratified as true and incorporated herein. Section 2. The Village Council hereby approves the First Amendment to the Communications Site Lease Agreement (Ground) with Verizon Wireless Personal Communications LP d/b /a Verizon Wireless, a copy of which is attached hereto and incorporated herein, and authorizes the Mayor and Village Clerk to execute the First Amendment on behalf of the Village. Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby repealed to the extent of such conflict. Section 4. (Village Seal) \ ATTEST: VILLAGE CLERK LESSEE SITE I.D.: NPB Community Center, No. 68622 FIRST AMENDMENT TO COMMUNICATIONS SITE LEASE AGREEMENT (GROUND) This First Amendment to Communications Site Lease Agreement (Ground) (this "First Amendment ") is made this �Nday of 2)15 i /;/ A*-Z 201,3(the "Effective Date "), by and between VILLAGE OF NORTH PALM BEACH, a Florida municipal corporation ( "Lessor "), and VERIZON WIRELESS PERSONAL COMMUNICATIONS LP, a Delaware limited partnership, d/b /a Verizon Wireless ( "Lessee "). WHEREAS, Lessor and Lessee (f/k/a PrimeCo Personal Communications Limited Partnership d/b /a Verizon Wireless) entered into that certain Communications Site Lease Agreement (Ground) dated November 13, 2001 (the "Lease "), pursuant to which Lessor leases to Lessee certain premises as more particularly described in the Lease (the "Premises "); and WHEREAS, Lessor and Lessee desire to amend the Lease as provided herein. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree to be legally bound to this First Amendment as follows: 1. Capitalized terms not defined in this First Amendment shall have the same meaning as such terms have in the Lease. 2. Lessor agrees that Lessee shall be permitted to: (a) add to the Premises (i) an eight foot by ten foot (8'x10') lease area for the installation of a diesel generator and fuel tank (the "Ground Space "), together with (ii) a five foot (5') wide utility easement extending from the Ground Space to Lessee's existing installations (the "Parking Lot Utility Easement "), each as described in Exhibit "B -1" attached hereto, (b) replace six (6) of Lessee's existing antennas with six (6) new antennas, for a total configuration of nine (9) antennas, (c) add one (1) AWS cabinet and one (1) GPS antenna within the existing lease area, and (d) install such wires, cables, conduits and pipes as necessary to connect the aforementioned equipment to (i) Lessee's existing installations and (ii) all necessary electrical and telephone utility sources located on the Land, including, without limitation, the improvements thereon (all of the foregoing are collectively, the "New Equipment "). Lessor additionally grants Lessee a non - exclusive easement for installation, inspection, maintenance, removal, expansion and replacement of landscaping and /or block walls around the Ground Space (the "Landscaping Easement "). The definition of "Premises" in the Lease is hereby amended to include the Ground Space, Parking Lot Utility Easement, New Equipment and Landscaping Easement. Portions of the New Equipment shall be installed in the locations depicted on the site plan appearing on Exhibit "13-1" attached hereto and incorporated herein by reference. 3. Exhibit "B" to the Lease Agreement is hereby supplemented by Exhibit "13-1" attached to this First Amendment. From and after the Effective Date, any references to Exhibit "B" LESSEE SITE I.D.: NPB Community Center, No. 68622 to the Lease shall be deemed to refer collectively to Exhibit "B" to the Lease Agreement and Exhibit "B -1" attached to this First Amendment. 4. The monthly rent due under the Lease shall be increased by Five Hundred and XX /100 Dollars ($500.00) (the "Rent Increase "), such increase being prorated for any fractional month, and shall continue to increase in accordance with Section 5(b) of the Lease. The Rent Increase shall be based upon the date Lessee is granted a building permit by the governmental agency charged with issuing such permits, or the date of execution of this Amendment by the parties, whichever is later. In the event the date at which Lessee is granted a building permit or the date of execution of the Amendment, whichever is applicable, falls between the 1St and 15th of the month, the Rent Increase shall commence on the 1St of that month and if such date falls between the 16th and 31St of the month, then the Rent Increase shall commence on the 1St day of the following month (either, the "Rent Increase Commencement Date "). Lessor and Lessee acknowledge and agree that increased rental payment(s) shall not actually-be sent by Lessee until thirty (30) days after the Rent Increase Commencement Date. 5. Paragraph 14 of the Lease is hereby deleted in its entirety and replaced with the following: "The Lease may be sold, assigned or transferred by the Lessee without any approval or consent of the Lessor to the Lessee's principal, affiliates, subsidiaries of its principal or to any entity which acquires all or substantially all of Lessee's assets in the market defined by the Federal Communications Commission in which the Premises is located by reason of a merger, acquisition or other business reorganization. As to other parties, the Lease may not be sold, assigned or transferred without the written consent of the Lessor, which such consent will not be unreasonably withheld, delayed or conditioned. Lessee may sublet the Premises with Lessor's prior consent, which consent shall not be unreasonably withheld. Any sublease that is entered into by Lessee shall be subject to the provisions of the Lease and shall be binding upon the successors, assigns, heirs and legal representatives of the respective parties to the Lease." 6. This First Amendment shall be effective upon execution by both parties. The parties hereby reaffirm their rights and obligations under the Lease as modified by this First Amendment. In the event of any inconsistencies between the Lease and this First Amendment, the terms of this First Amendment shall control. The Lease and this First Amendment contain all agreements, promises or understandings between Lessor and Lessee and no verbal or oral agreements, promises or understandings shall be binding upon either Lessor or Lessee in any dispute, controversy, or proceeding at law, and any addition, variation or modification to the Lease and First Amendment shall be void and ineffective unless made in writing and signed by the parties.
