AN ORDINANCE OF THE VILLAGE OF NORTH PALIQ BEACH, FLORIDA
CREATING A COUNTRY CLUB ADMINISTRATIVE BOARD; PROVIDING FOR
' THE COMPOSITION, TERM OF OFFICE AND PROCEDURE FOR REMOVAL
OF BOARD MEMBERS;' PROVIDING FOR A QUORUM AND PROCEDURE FOR
THE CALLIi1G AND CONDUCT OF MEETINGS; PROVIDING FOR DUTIES OF
THE BOARD; PROVIDING FOR THE REPEAL OF ALL ORDINANCES OR PARTS
OF ORDINANCES IN CONFLICT HEREWITH; AND, PROVIDING FOR AN
EFFECTIVE DATE.
BE IT ORDAINED BX THE VILLAGE COUNCIL OF NORTH PAL14
BEACH, FLORIDA:
Section 1. Country'C1ub Administrative Board. A Country
Club Administrative Board (hereinafter referred to as BOARD)
£or the Village of North Palm Beach,' Florida (hereinafter referred
to as VILLAGE), is hereby created.
Section 2. Composition';'Te'rms;:Vacaricies.
' (1) Composition. The BOARD shall be appointed by
the Village Council and shall consist of seven (7) members who
shall be residents of the VILLAGE.
(2) TeYms. The initial appointments to the seven (7)
memher BOARD shall be as follows:
(1) Four (4) members shall be appointed for a
two (2) year term each.
(2) Three (3) members shall be appointed for a
three (3) year term each.
(3) Thereafter all appointments shall be
made for a term of two (2) years each.
(3) Vacancies. An appointment to fill any vacancy
' shall be for the remainder of the unexpired term of office.
Section 3. Removal. Members of the BOARD shall serve
at the pleasure of the Village Council and may be removed at any
time with or without cause. If any member fails to attend two (2)
successive meetings without a BOARD's excuse. the BOARD
shall declare the member's office vacant and the +incil
shall promptly fill such vacattcy for the unexpired t office.
Section 4. Officers' Quorum; Compensation. At the first

organizational meeting of the BOARD, the members shall
elect a Chairman, Vice Chairman and Secretary from among its
members. Subsequent to the initial organizational meeting where
officers are elected, the members shall elect the officers from
among its members at the-first regular meeting in October of each
year. The presence of four (4) members shall constitute a quorum
and motions shall be approved by a majority of members present.
The members shall serve without compensation.
Section 5. Meetings. The BOARD shall meet and shall schedule

regular meetings twice per month. In addition, the Chairman may
call special meetings and special meetings may be called by
written notice signed by at least four (4) members of the BOARD.
Minutes shall be kept of all meetings. Notice of all .meetings
shall be posted in accordance with.-the procedures established by
the Village Council. All meetings shall be open to the public.
The attorney for the VILLAGE may give legal assistance to the
BOARD as required. The BOARD shall enactor adopt rules for
the conduct of its meeting. A1T members shall be apprised of the
applicability of the "Sunshine Law" to the BOARD and its members.
Section 6. Duties.
A. Management and Administration. The BOARD shall

have the right, potaer, authority, and duty to exercise full
supervision, control and responsibility for the management and
administration over the North Palm Beach Country Club (hereinafter
referred to as CLUB) including the daily operation of the
various CLUB activities. The CLUB is a VILLAGE owned facility
operated for the recreational enjoyment of the entire VILLAGE
resident population. Physical access to CLUB facilities to
resident non-members shall be on par with CLUB members who have

prepaid their fees. The VILLAGE resident non-member shall ..ave
equal physical access to facilities as CLUB members by payment
of the established daily fee rate schedule. VILLAGE Council
policy is to direct the-BOARD to prohibit discriminatory
' practices, excepting the established fee schedules, between CLUB
members and VILLAGE resident non-members which would favor the
CLUB members accessibility to CLUB facilities. The responsibility
of the BOARD shall be to plan, promote, organize, coordinate,
conduct and supervise a comprehensive CLUB program including
all forms of recreational, athletic, and social activities and
administer the same in the interest of the residents of the
VILLAGE and the members of the CLUB which will include the following:
(1) Coordinate golf course area.
Coordinate the use and maintenance
of the North Palm Beach golf course,
putting greens, golf driving range,
the pro shop, bag and cart storage,
cart shed, golf carts, and all
facilities needed to carry out the
' Country Club golf program. The
BOARD shall further see to the
enforcement of terms and provisions
of any contract with a golf professional.
(2) Swimming pool activities. Coordinate
the use and maintenance of the North
Palm Beach swimming pool, locker room
areas and pool deck area. The BOARD
shall further see to the enforcement
of terms and provisions of any contract
with a swimming professional.
(3) Tennis courts activities. Coordinate
the hse and maintenance of North-Palm
Beach tennis courts and pro shop, located
on the northern side of the clubhouse.
The-BOARD shall see to the enforcement
of terms and provisions of any contract
with a tennis professional.
(4) Snack bar, lounge and dining room.
Administer the use and maintenance of the
Country Club snack bar, cocktail lounge
and dining room areas and other food
and beverage areas through enforcement
of contract provision with concessionaires
or through direct supervision of Country
Club employees.
(5) Business activities. Organize, coordinate
and supervise the barious aspects of
membership and membership development
and administer the business office.

(6) Termination of VILLAGE employees is
subject to approval of the Village
Manager. Termination of contractors
with the VILLAGE is subject to the
approval of the Village Council.
B. Rules and Regulations. The BOARD shall enact and
amend rules and regulations for the use by the membership and public
of the CLUB and its facilities. The BOARD shall at no time enact
or amend rules or regulations-that would be in derogation of
contracts entered into between the Village Council and the golf
professional, tennis professional, pool manager or any other
person or corporation.
C: Finances. In administering the business office,

the BOARD shall have-the responsibility to make expenditures of
monies required for operation of the CLUB as budgeted by the
Village Council. All expenditures shall be approved according
to the VILLAGE Purchasing Rules and Regulations. All revenues
from the CLUB and its operations shall be deposited with the
Department of Finance. The BOARD shall supervise the purchase
of all materials for which funds are provided for in the Country
Club Budget; let contracts necessary for operation of CLUB
services up to and including $20D0; receive bills for purchases
in excess of $2000. No contract in excess of $2000 shall be let
except by VILLAGE Council. All purchases in excess of $2000
shall be upon presentation to the BOARD for its approval and the
BOARD shall thereafter advise the `Village Council on advantages
or disadvantaged of the hid proposal. The BOARD shall have no
authority or power to obligate. 'the VILLAGE for any monies in excess
of that budgeted by the Village Council and the VILLAGE shall be
under no duty or obligation to expend any monies in excess of the
budgeted amount.

Section 7. Vi lage Manager.
If a conflict or irreconcilable difference arises
between a department head of the CLUB and the BOARD in its
exercise of management and administration of the CLUB, either
' the BOARD or department head may present such conflict or
difference to the Village Manager for resolution.
Section 8. All Ordinances or parts of Ordinances in
conflict herewith are hereby repealed.
Section 9. This Ordinance shall take effect immediately
upon passage.
