• A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, APPROVING AN AMENDMENT TO
THE CROSS PARKING AGREEMENT WITH THE FIRST UNITARIAN
CHURCH; PROVIDING FOR CONFLICTS; AND PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, through the adoption of Resolution 55-2005, the Village Council approved a Cross
Parking Agreement with The First Unitarian Universalist Congregation of the Palm Beaches a/k/a
First Unitarian Church ("Church") authorizing the Village to utilize up to thirty(30) parking spaces
in the Church's parking lot Monday through Friday and authorizing the Church to utilize parking
spaces in front of the Village's Public Works facility on Saturdays and Sundays;and
WHEREAS,the Cross Parking Agreement renews on an annual basis and requires the Village to pay
the sum of$300.00 per month($3,600.00 per year)to the Church; and
WHEREAS, the Church has requested an amendment to the Cross Parking Agreement to increase
the total annual payment from$3,600.00 to $4,000.00; and
WHEREAS, the Village Council determines that the execution of an amendment to the Cross
Parking Agreement is in the best interests of the residents and citizen of the Village of North Palm
Beach
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves the Amendment to Cross Parking Agreement
with The First Unitarian Universalist Congregation of the Palm Beaches a/k/a First Unitarian
Church, a copy of which is attached hereto and incorporated herein, and authorizes the Mayor and
Village Clerk to execute the Amendment on behalf of the Village.
Section 3. All resolutions or parts of resolution in conflict with this Resolution are hereby
repealed to the extent of such conflict.
Section 4. This Resolution shall be effective immediately upon adoption.

AMENDMENT TO CROSS PARKING AGREEMENT
THIS AMENDMENT is made and entered into this 8th day of DECEMBER, 2011,
by and between the Village of North Palm Beach, Florida, a Florida municipal corporation
("Village") and The First Unitarian Universalist Congregation of the Palm Beaches a/k/a First
Unitarian Church("Church").
WITNESSETH:
WHEREAS, the Village and the Church entered into a Cross Parking Agreement dated
June 25, 2005 ("Agreement") whereby the Church agreed to allow the Public Works Department
(f/k/a Public Services Department) to park up to 30 vehicles on the Church's property from
Monday through Friday, and the Village agreed to allow the Church to utilize the parking spaces
in front of the Public Works Building on Saturday and Sunday; and
WHEREAS, in addition to allowing the Church to utilize the spaces at the Public Works
Department, the Agreement requires the Village to pay the Church the sum of$300.00 per month
for use of its property; and
WHEREAS, the Church has requested an increase the monthly payment from $300.00
per month to $4000.00 per year effective January 1, 2012, and the Village has agreed to such
increase.
NOW, THEREFORE, in consideration of the mutual representations and obligations set
forth herein and in the Agreement, and other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, the parties agree as follows:
1. Section 2 of the Agreement ("Compensation") is hereby amended to read as
follows (additional language is underlined and deleted language is stFislen-thfeugh):
At the inception of this Agreement, VILLAGE shall pay CHURCH in advance
the sum of three hundred dollars ($300.00) per month for the initial term of this
lease and each month thereafter the Agreement might be extended. Effective
January 1, 2012, the VILLAGE shall pay CHURCH the sum of($4000.00) per
calendar year. If either party cancels the Agreement as set forth in this
Agreement, the , . -- . . . .. , !!.!! - . compensation paid by the
VILLAGE to CHURCH shall be adjusted prorated and refunded accordingly.
CHURCH shall not pay VILLAGE compensation for utilization of parking at
VILLAGE's Public Service Works Building.
2. All additional references in the Agreement to the Public Services Building shall
be amended to read Public Works Building.
3. All other provisions of the Agreement, to the extent not expressly modified
herein, shall remain in full force and effect.

Agreement on the date first written above.
