AND THE COUNTRY CLUB ADMINISTRATIVE BOARD

All members of the Country Club Administrative Board were present,
except Chairman M. C. Love, who was hospitalized, and Member Lucia
Traugott, who was out of town.
PURPOSE OF THE MEETING
The Special Joint Workshop was called for the purpose of discussing
a proposed lease amendment from the restaurant Lessee, Amici of the
Palm Beaches.
Vice Chairman Weston reported that the Country Club Administrative
Board held a Special Meeting on March 22, 1993 whereby discussion
was held concerning a letter from Armando Denaro's attorney to
Village Manager Dennis Kelly. As a result of that discussion, the
Board recommended that the request for $6,000.00 be denied, and to
accept his resignation, per the notice given in the letter. Mr.
Weston also stated that, after consulting with Club Manager Alan
Sayer, the Board would advocate terminating the contract with Amici
of the Palm Beaches, and offering limited service from the bar.
Mayor Marks informed all present that Mr. Denaro, after last
night's meeting of the Board and prior to the opening of this
meeting, rescinded his proposed amendment to the contract, which
requested a refund of $6,000.00 by March 25, 1993 from his security
deposit for the purpose of paying his liquor license fee, liquor
license taxes, workers' compensation insurance, rent and sales tax,
and also rescinded his notice to terminate his lease.
Mr. Sayer told the Council and the Board members that Mr. Denaro
had in fact obtained enough money just this afternoon to pay the
above-mentioned expenses, and had sent payment via Federal Express.

Village Attorney George Baldwin reported that the purpose of the
security deposit of $10,000.00 from Amici Corporation was to ensure
return of premises, as well as performance of all the terms and
payment of all the monies, with no losses to the Village. Mr.
Baldwin stated that a letter received before the meeting states
that Mr. Denaro's intent now is to continue until the end of his
contract on August 15, 1993, and to perform the terms of that
contract.
Mr. Baldwin told the Council and the Administrative Board that if
Mr. Denaro is not in compliance regarding the bills owed, such as
the payment of a liquor license fee, liquor license taxes, workers'
compensation insurance, rent and sales tax, the Village has the
right to terminate his contract. Mr. Baldwin further stated that
if he is now in compliance, the Village still has the option to
terminate the contract early with 30 days notice, on the basis that
the Village Council does not find his performance satisfactory.
Mr. Denaro had indicated at the Country Club Administrative Board
~,, Meeting on March 22, 1993 that he had not paid his rent for the
month. Mr. Baldwin said that when required payments aren't made,
the Village should give three days written notice. At the end of
that three days, if payment is not made, he would be in default,
and the entire balance of the rent payments could be accelerated.
Discussion included the possibility of terminating Amici's lease
early, closing the restaurant operation or limiting service from
the bar during necessary remodelling and/or cleanup with the
Village obtaining a liquor license for the duration of the
remodelling, and then going out for bid.
Another option discussed was to continue the current lease, with
the Club Manager overseeing compliance with the contract.
The Country Club Administrative Board will go back to the table to
discuss all viable options, and will make a recommendation to the
Village Council concerning the continuance of the current lease
through its expiration in August 1993.
