A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
• NORTH PALM BEACH, FLORIDA, APPROVING A FIRST AMENDMENT
TO A CONTRACT FOR JANITORIAL SERVICES AT VILLAGE FACILITIES
WITH IMAGE JANITORIAL SERVICES, INC. TO INCLUDE DAILY
CLEANING OF THE COUNTRY CLUB RESTAURANT AND AUTHORIZING
THE MAYOR AND VILLAGE CLERK TO EXECUTE THE AMENDMENT;
PROVIDING FOR CONFLICTS; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEItEA~, tl"irough the adoption o~Resolution l~lo. g0~0-~4 on June 24, 20I0, fhe Village
Council approved a Contract for Janitorial Services of Village Facilities with Image Janitorial
Services, Inc. ("Contract"); and
WHEREAS, while included in the original scope of services set forth in the Request for
Proposals ("RFP") issued by the Village, the Contract excluded the daily cleaning ofthe Country
Club Restaurant; and
WHEREAS, the Village has requested an amendment to the Contract to include the daily
cleaning of the Country Club Restaurant within the Scope of Services at the price set forth in the
proposal originally submitted by Image Janitorial Services in response to the RFP; and
WHEREAS, the Village Council determines that the adoption of this Resolution is in the best
interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are hereby ratified and incorporated herein.
Section 2. The Village Council hereby approves the First Amendment to the Contract for
Janitorial Services at Village Facilities with Image Janitorial Services, Inc., a copy of which is
attached hereto and incorporated herein, and authorizes the Mayor and Village Clerk to execute
the First Amendment on behalf of the Village.
Section 3. The funds for the increased cost to the Village as set forth in the First Amendment
shall be expended from Village Account No. L8053-33491 (Contractual Services).
Section 4. All resolutions or parts of resolutions in conflict herewith are hereby repealed to
the extent of such conflict.
Section 5. This Resolution shall take effect immediately upon adoption.

FIRST AMENDMENT TO CONTRACT FOR JANITORIAL SERVICES
AT VILLAGE FACILITIES
VILLAGE OF NORTH PALM BEACH
This First Amendment is made as of the d~s~ day of ~® , 2011, by and
between the VILLAGE OF NORTH PALM BEACH, a municipal corporation organized and
existing under the laws of the State of Florida, hereinafter referred to as the VILLAGE, and IMAGE
JANITORIAL SERVICES, INC., a corporation authorized to do business in the State of Florida,
hereinafter referred to as the CONTRACTOR.
WHEREAS, the VILLAGE and CONTRACTOR entered into a Contract for Janitorial
Services at Village Facilities ("Contract") dated June 24, 2010; and
WHEREAS, while included in the original scope of services set forth in the Request for
Proposals ("RFP") issued by the VILLAGE, Section 1.A of the Contract excluded the daily cleaning
of the Country Club Restaurant; and
WHEREAS, the parties wish to amend the Contract to include the daily cleaning of the
Country Club Restaurant within the scope of CONTRACTOR's services in accordance with the
price indicated in the proposal submitted by CONTRACTOR in response to the RFP.
NOW, THEREFORE, in consideration of the promises and mutual covenants herein
contained, and other good and valuable consideration, the receipt and sufficiency of which is
acknowledged, the parties agree as follows:
1. The foregoing recitals are hereby ratified and incorporated herein.
2. Section 1 of the Contract, "Goods and Services of the Contractor," is hereby amended
to include the daily cleaning of the Country Club Restaurant (lobby, men's and ladies' restroom,
bar/lounge, banquet room, kitchen and snack bar) within the Scope of Services to be performed by
CONTRACTOR.
3. The VILLAGE shall pay to CONTRACTOR an additional $14,322.00 for the daily
cleaning of the Country Club Restaurant through September 30, 2011, the end of the current fiscal
year. Effective October 1, 2011, Section 4 of the Contract is hereby amended to increase the annual
compensation by $22,568.00 to $137,792.00 for each subsequent year, or portion thereof on a pro
rata basis, the Contract remains in effect.
4. All other provisions of the Contract, to the extent not expressly modified herein,
shall remain in full force and effect.
