Mayor Norris called the meeting to order at 8:07 p.m. All members of Council were present.
All members of staff were present.
PEAS AND CARROTS CATERING DB/A CONTINENTAL CATERING LEASE AGREEMENT
Discussion was held concerning the lease agreement with Peas and Carrots Catering d/b/a
Continental Catering to provide food and beverage service at the Country Club Restaurant.
Mr. Knight reported that the average cost of restaurant rent is customarily based on a percentage of
gross sales, usually 7%, and recommended that any relief on rent be calculated on a percentage of
gross sales, based on the state sales tax report. Mr. Knight specified September 2009 gross sales
were$92,049.28, which would result in an October rent payment of$6,443.44 at 7%. Mr. Knight
recommended against relief on taxes or utilities. Mr. Knight recommended that the percentage
of gross sales be less than 7% and suggested 3.5% or as otherwise determined by Council.
Randy Epstein, owner/CEO of Peas and Carrots Catering, provided the Council with a list of the
steps he has taken to decrease expenses and increase sales. Mr. Epstein discussed ideas to
increase sales,based on discussions with the new golf pro and with a restaurant consultant.
Council discussion centered on these issues: utilities, taxes, and fees; repair and maintenance
cost on equipment over 10 years old; percentage of gross sales; and duration of modifications in
rent structure/lease agreement. It was noted that the 2010 calendar year budget provided by
Mr. Epstein still projects a loss, even with planned changes in expenses and revenues.
Council consensus was that rent payments for the period of 10/1/2009 to 6/30/2010 will be
calculated on 4.5% of gross sales based on the prior month's Sales and Use Tax Return, lessee is
responsible for all utilities and taxes, and the Village will pay 50% of the cost of repair and
maintenance of Village-owned equipment over 10 years old. These provisions will be
reevaluated in May 2010.
It was noted that after June 30, 2010, the rent would increase to 7% of the gross sales.
Council determined to hold a Special Session to adopt a Resolution approving an amendment to
the lease agreement.
