A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM
I3EACH, FLORIDA, ACCEPTING THE PROPOSAL OF SOUTHEAST RISK MANAGEMENT
ASSOCIATION (SERMA) TO PROVIDE THE VILLAGE OF NORTH PALM BEACH WITH
GENERAL. LIABILITY INSURANCE, PROPERTY COVERAGE INSURANCE, WORKERS
COMPENSATION ANI) OTHER INSURANCE COVERAGES AS SET FORTH IN EXHIBIT "A"
ATTACHED TO THIS RESOLUTION; AND, PROVIDING FOR AN EFFECTIVE DATE.
BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA:
Section 1. The Village Council of the Village of North Palm Beach, Florida, does hereby accept
the proposal of Southeast Risk Management Association (SERMA) to provide the Village of North
Palm Beach with general liability insurance, property coverage insurance, workers compensation and
other insurance coverages as set forth in Exhibit "A" attached to this Resolution.
Section 2. This resolution shall take effect immediately upon its adoption.

CLARIFICATIONS AND EXCEPTIONS
Section I — Instructions to Proposers #6.3
Should SERMA be the successful proposer, the existing contracts (interlocal agreement, by-laws, &
administrative service agreement) will continue as they are now written or amended by the SERMA
Board of Directors in the future.
Section I1— General Conditions #3.3
SERMA members may be charged a late payment fee of 1 % per month on the amount of the payment
due.
Section II — General Conditions #6.0
The SERMA agreement for services contract includes an indemnification clause (page 8 of 9, item
XII) which is slightly more restrictive. In essence, McCreary Corporation agrees to indemnify, defend
and hold harmless SERMA (&/or it's members) for a) penalties or fines that are solely the fault of the
Administrator, b) claim payment or premium payment made in error if it is not recoverable, claims
resulting from errors, omissions or c) negligence on the part of the Administrator unless the action was
at the direction of SERMA or the result of SERMA's negligence.
Section III — Special Conditions #1.5
The SERMA Board of Directors has approved the total premium/contribution indicated on the
proposal form for the 10/1/2001-2002 year. Although future years cannot be guaranteed, we have not
had reason to require an increase in excess of 15% that is occurring this year and is the direct result of
the hardest insurance marketplace since the post Hurricane Andrew (1993-1995). Prior year increases
have not exceeded 10% with some years as low as 5%. Please note these increases reflect the insurance
market as well as your claims activity and exposure changes (new & additional property, increases in
staff, payroll & vehicle fleet, etc.)
Section III — Special Conditions #3.1
There are no applicable discounts or prompt payment incentives; however, the total contribution is
payable at 40% due 10/1/2001 and 9 future installments equal to 6.67% due on the first of each
consecutive month 11/1/2001 through 7/1/2002.

Section IV — Specifications:
Property
I) Values will be amended to reflect increase reported to the Country Club Clubhouse and/or as the
result from the up -coming property appraisals being supplied through SERMA.
2) The policy limits will be blanket, per occurrence based on the reported insurable values of all
members.
Boiler & Machinery
The insured limit will be $30,000,000 per occurrence based on the estimated maximum loss for any
one member.
Comprehensive General/Automobile/Public Official/Emolovment Practices Liability
Coverage is included for all police operations and extends to include additional insureds for leased
vehicles & the EMT/Paramedic Medical Director as required by the governing statutes.
The SERMA oroeram also includes coveraee for:
Non -Owned Aircraft Liability
Limit $1,000,000 Liability, Each Occurrence, including passengers
$ 1,000 Medical Payments, Each Person
$ 4,000 Medical Payments, Each Occurrence, including crew
Business & Pleasure use in any fixed wing single engine land aircraft bearing a standard category
airworthiness certificate have no more than 4 total seats or any rotor -wing land aircraft bearing a
standard category airworthiness certificate have no more than 2 total seats & having a certificated
gross weight not in excess of 12,500 pounds.

CERTIFICATION OF DRUG -FREE WORKPLACE PROGRAM
I certify the firm of McCreary Corporation. Administrator. for South East Risk
Management Association responding to Reauest for Proposal. Property/Casualty
& Workers' Compensation Insurance Pro ram to the Village of North Palm
Beach. Florida maintains a drug -free workplace program and the following conditions
are met.
1. We publish a statement notifying employees that the unlawful manufacture,
distribution, dispensing, possession, or use of a controlled substance is prohibited in
the workplace and specifying the actions that will be taken against employees for
violations of such prohibition.
2. We inform employees about the dangers of' drug abuse in the workplace, the
company's policy of maintaining a drug -free workplace, any available drug
counseling, rehabilitation, and employee assistance programs, and the penalties that
may be imposed upon employees for drug abuse violations.
3. We give each employee engaged in providing the commodities or contractual services
that are under bid a copy of the statement specified in subsection 1.
4. In the statement specified in subsection 1 we notify the employees that, as a condition
of working on the commodities or contractual services that are under bid, the
employee will abide by the terms of the statement and will notify the employer of any
conviction of, or plea of guilty or nolo contendere to, any violation of Chapter 893 or
of any controlled substance law of the United States or any state, for a violation
occurring in the workplace no later than five (5) days after such conviction.
5. We impose a sanction on, or require the satisfactory participation in a dnig abuse
assistance or rehabilitation program if such is available in the employee's community,
by any employee who is so convicted.
6. We make a good faith effort to continue to maintain a drug -free workplace through
implementation of this section.
