HomeMy WebLinkAbout1996-009 Agreement w/Searcy for Engineering• • • RESOLUTION NO. 09-96 A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND VILLAGE CLERK TO ENTER INTO AN AGREEMENT FOR PROFESSIONAL ENGINEERING AND SURVEYING SERVICES WITH HOWARD L. SEARCY CONSULTING ENGINEERS, A DIVISION OF LINDAHL, BROWNING, FERRARI AND HELLSTROM, INC., AS SET FORTH IN EXHIBIT "A" ATTACHED; AND, PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the Village Council of the Village of North Palm Beach, Florida is desirous of entering into a continuing contract for Professional Engineering and Surveying Services with Howard L. Searcy Consulting Engineers, a Division of Lindahl, Browning, Ferrari and Hellstrom, Inc. BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA: Section 1. The Village Council of the Village of North Palm Beach, Florida, does hereby approve the Agreement for Professional Engineering and Survey Services with Howard L. Searcy Consulting Engineers attached as Exhibit "A," which contract is a "continuing"contract as defined in Section 287.055 of the Florida Statutes. Section 2. The Mayor and Village Clerk are hereby authorized and directed to execute the Agreement with Howard L. Searcy Consulting Engineers set forth in Exhibit "A" for and on behalf of the Village of North Palm Beach. • • • Section 3. This Resolution shall take effect immediately upon its adoption. SEARCY CONSULTING ENGINEERS, A DIVISION OF LINDAHL. BROWNING. FERRARI AND HELLSTROM, INC. THIS AGREEMENT is made and entered into this 25th day of January , 1996 , by and between the VILLAGE OF NORTH PALM BEACH, Florida, a municipal corporation (hereinafter referred to as "VILLAGE") and HOWARD L. SEARCY CONSULTING ENGINEERS, a division of Lindahl, Browning, Ferrari and Hellstrom, Inc. (hereinafter called "ENGINEER"). WITNESSETH: WHEREAS, VILLAGE and ENGINEER are desirous of entering into a "continuing contract" as defined in Florida Statute 287.055 of the Florida Statutes for Professional Engineering and Surveying Services. NOW, THEREFORE, in consideration of the premises and of the mutual benefits, promises and herein contained, it is agreed as follows: SECTION 1- SERVICES A. ENGINEER shall perform professional engineering services and render consultation to the VILLAGE consistent with requests and instruction of the VILLAGE Council, the VILLAGE Manager and the Director of Public Services. B. ENGINEER may represent the VILLAGE in engineering matters at the direction of the VILLAGE. C. ENGINEER shall attend regular, special, or workshop meetings of the VILLAGE Council and shall attend such meetings of the VILLAGE Advisory Boards as directed by the VILLAGE Manager. D. ENGINEER shall make such technical investigations as the VILLAGE Manager deems necessary and submit its findings and recommendations to the VILLAGE Manager. E. ENGINEER shall, as requested by the VILLAGE, review all land development applications submitted to the VILLAGE for compliance and consistency with applicable codes and make such • • • recommendations as are necessary regarding engineering, surveying and other technical matters. F. ENGINEER shall, as directed by the VILLAGE Manager, review the construction of capital improvements and site improvements by persons or entities other than the VILLAGE. G. ENGINEER shall perform professional engineering services for design, preparation of construction plans and specifications, permitting, bidding and services during construction for capital improvements undertaken by the VILLAGE for projects in which construction costs do not exceed $500,000.00 or study activity when the fee for such professional service does not exceed $25,000.00. H. ENGINEER shall assist VILLAGE in dealing with issues of regulatory/permitting compliance, including occurrences of hazardous waste and/or pollution of natural resources within the VILLAGE'S jurisdiction. I. ENGINEER shall provide support services to the VILLAGE for surveying and mapping, including Geographic Information Systems (GIS). SECTION 2 - TERM The engineering Services, terms and conditions of this Agreement shall become effective the date of execution of this Agreement and continue until terminated by action of the VILLAGE Council; provided however, that either party may terminate this Agreement at any time with or without cause upon sixty (60) days advance written notice to the other party. ENGINEER shall be paid for performance of services rendered to the VILLAGE in accordance with this Agreement through the date of termination. SECTION 3 - COMPENSATION A. VILLAGE shall pay ENGINEER for services rendered under this contract on the basis of hourly rates set forth in Exhibit"A" attached and made a part of this Agreement. B. The VILLAGE shall compensate the ENGINEER for reimbursable expenses including but not limited to printing, photocopies, long distance telephone calls, facsimile, blueprints, electrostatic plots, out of County travel approved by VILLAGE and outside contractual services approved by VILLAGE. C. ENGINEER shall submit invoices to VILLAGE on a monthly basis and VILLAGE shall pay ENGINEER monthly. • • • SECTION 4 - GENERAL CONSIDERATIONS A. At the request of the VILLAGE, ENGINEER shall supply copies of ENGINEER'S original documents prepared pursuant to this Agreement. B. ENGINEER cannot and does not guarantee that proposals, bids, or actual project costs will not vary from ENGINEER'S judgement and opinion of possible costs. SECTION 5 - AMENDMENTS A. This Agreement shall only be amended in writing upon execution by the parties.
