HomeMy WebLinkAbout1996-068 NPBCClub Restaurant Lease Amendment No. 3• • J RESOLUTION NO. 68-96 A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND VILLAGE CLERK TO ENTER INTO A THIRD AMENDMENT TO THE LEASE AGREEMENT TO CONDUCT FOOD AND BEVERAGE OPERATIONS AT THE NORTH PALM BEACH COUNTRY CLUB WITH ZELNIA, VAN SCHAFFELAAR, PRICE, INC., A FLORIDA CORPORATION, BY REQUIRING LESSEE TO CONDUCT ONE (1) SPECIAL EVENT PER CALENDAR MONTH AT THE COUNTRY CLUB DURING THE TERM OF LEASE OR EXTENSION THEREOF; AND, PROVIDING FOR AN EFFECTIVE DATE. BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA: Section 1. The Village Council of the Village of North Palm Beach, Florida, does hereby approve the Third Amendment of Lease Agreement to Conduct Food and Beverage Operations at the North Palm Beach Country Club with Zelnia, Van Schaffelaar, Price, Inc., attached as Exhibit "A", which Third Amendment is for the purpose of requiring Lessee to conduct one (1) special event per calendar month at the Country Club during the term of lease or extension thereof. Section 2. The Mayor and Village Clerk are hereby authorized and directed to execute the Third Amendment to Lease Agreement with Zelnia, Van Schaffelaar, Price, Inc. set forth in Exhibit "A" for and on behalf of the Village of North Palm Beach. • Section 3. This Resolution shall take effect immediately upon its adoption. PASSED AND ADOPTED THIS 14th DAY OF NOVEMBER 1996. (Village Seal) • AT • 1�-.� //.,_, (11/1e-- VILLAGE CLERK 1 ' THIRD AMENDMENT TO LEASE AGREEMENT THIS THIRD AMENDMENT is to that certain Lease Agreement to conduct food and beverage operations at the North Palm Beach Country Club dated the 15th day of September, 1995, and entered into by and between the VILLAGE OF NORTH PALM BEACH, a Florida municipal corporation, hereinafter called "VILLAGE", and ZELNIA, VAN SCHAFFELAAR, PRICE, INC., a Florida corporation, hereinafter railed "LESSEE". W I T N E S S E T H: WHEREAS, VILLAGE and LESSEE are desirous of amending the Lease Agreement by addition of a Subsection G to Paragraph 3 adding a requirement that the LESSEE shall conduct one (1) special event per calendar month at the Country Club. NOW, THEREFORE, in consideration of the premises and of the mutual benefits, promises and agreements herein contained, it is agreed as follows: 1. Section 3 is hereby amended by the addition of a Subsection G to read as follows: "G. During the term of Lease or extension thereof, LESSEE shall conduct one (1) special event per calendar month at the Country Club for the membership, Village residents or both. All special events shall be reviewed and approved by the Country Club Administrative Board in advance. If a minimum of forty five persons fail to sign up for the special event and pay the charge therefor within four (4) calendar days prior to the special event, LESSEE shall have the right to cancel the special event and return monies to the persons who had signed up for the event." 2. All terms and provisions of the Lease Agreement and First and Second Amendments to Lease Agreement between the parties that are not specifically in conflict with this Third Amendment shall remain in full force and effect.
