Drive 848-4525 Flotilla Lane 848-1775 CONSTITUTION AND BY-LAWS OF 'nu; NORTH PALM -BEACH GARDEN CLUB CONSTITUTION ARTICLR 1 NAM: The name of this organization shall be THE NOBTH TALK BEACH GARDEN CLUB. 4 OBJECT: The object of this club shall be to promote an interest in gardening, to co-operate in the protection of wild flowers, birds, native trees and shrubs, and to encourage civic planting. ARTICIT II ARTICLE III 1. 'Membership in the organization shall be limited to residents of the Village of North Palm Beach, except where members in good. standing who are leaving the Village desire to retain their membership. Memberships shall consist of two classes, Active and Associate. 2. Qualifications for Active Membership shall be: (a) Willingness to promote the aims and. participate in the activities of the club. (b) To abide by the provisions of the Constitution and the By -Laws. (c) An active interest in horticulture and/or ownership of, or personal care of gardens. (d.) Three consecutive absences unexcused by the Executive Board shall forfeit active membership. 3. Associate Members shall enjoy the privileges of the organization without responsibility of the work, but may not vote or hold office. They shall have pre- ference in becoming Active Members. OFFICERS: ARTICLE IV 1. The officers of the organization shall be President, Vice -President, Recording Secretary, Corresponding Secretary, and. Treasurer. 2. The Annual Meeting for the election of officers shall be held. at the tirrie of the regular meeting in March. Officers elected. at this meeting shall assume d.utios of office upon conclusion of business at the regular meeting of the current year in June. DUES: 3. The term of elective office shall be one year, and no member shall be eligible to the same office for more than two (2) consecutive terms. 1. per the the ARTICTR Dues for lictive Members shall be four dollars ($4.00) year, of which one dollar ($1.00) shall be paid to State Federation, and the remaining be retained in Club Treasury. 2. Dues for Associate Members shall be ten. dollars ($10) Der year. 3. Dues for the following year are payable to the Treasurer at the AITaI, meeting. Members of the Club who have not paid their fee by the MAY meeting shall be notified by the Treasurer in writing. Members failing to pay by the TUNE meeting shall be automatically dropped from the membership list. AHEM:LENTS: ARTICLE VI. The Constitution may be amend.ed at any annual June meet- ing by a two-thirds vote of the Active Members present and voting9 provided written notice has been given at least two weeks previous to the time of the desired action. BY LAWS ARTICLE I NOMINATIONS: At the February meeting, a Nominating Committee of three shall be appointed by the President, subject to the approval of the Executive Board. This Committee shall be composed of one member from the Executive Board, who shall act as Chairman, and two members from the Club at large. At the March meeting, this Committee shall present a list of candidates to be voted. upon. Nominations may be made from the floor, providing the consent of the nominee has been previously obtained. ARTICTE II ELECTION OF OFFICERS: Where these is but one candidate for an office, the election shall be by acclamation. Where there is more than one candidate for the same office, the election shall be by ballot and the majority vote of members present shall elect. ARTICLE III DUTIES OF OFFICERS: THE itth;SIDENT shall preside at all meetings of the Club and of its Executive Board, shall call special meetings of the Club and Executive Board, and shall appoint chairmen of all special and standing committees. She shall be ex-officio a member of all standing ani special committees, except the Nominating Committee, Tat; VICE-PRESIIENT shall assume the duties of the Presi- dent in the absence of the President, and shall serve as the Program Chairman. Tab BECOMING SECRETARY shall keep a record of all the proceedings of all meetings, and have charge of all papers pertaining to the office. She shall record the attendance at each meeting by roll call. ThE CORESPGNDING SECRETARY shall send. notices of all meetings of this organization and shall conduct such corres- ponience as the President requests, and keep a file of all important letters. ARTICLE IV D1,44,43 OF 'nth EXECUTIVE BOARD: 1. All vacancies among officers shall be filled for the unexpired term by the Executive Board.. 2 The Executive Board shall consist of the officers and. chairmen of standing committees, and the Counselor, who is the inuaecliate Past -President of the Club. Duties of the Executive Board. shall consist of the management of the Club. The Board. shall pass on the expenditure of all monies taken from the Club Treasury with the approval of the membership. A majority of the Board shall constitute a quorum of the Board.. The Board. shall maintain a Petty Cash Fund. of :$10.00 to be used at its own discretion. 3 The Standing Committees consist of the Parliamentarian and the Publicity Chairman. 4. The duties of the Parliamentarian shall be to be pre- sent at all meetings, be familiar with parliamentary rules and usages basedupon Robert's Bules of Order, giving her advice and as whenever it is needed. 5. The duties of the Publicity Chairman shall be to fur- nish the press and radio with all information in regard to the activities of the Garden Club which will promote the purposes and interests of the Club. ARTICLE v The regular meetings of the Club shall be held on the second. Wednesday of each month, from October through June, at 9:30 a rn at the NIB Senior Social Club Building. Meetings of the Board shall be held on the first Wbanooday of each month, from October through June, at 9:30 a.m., at a place aesignated by the President. SOLICITATIONS: ARTICIR VI Outside activities of solicitation by letter or by person shall be presented first to the Board for suitable action. The North Palm Beach Garden Club shall have a permanent policy that they participate in Garden Club -type activities only. AMENDMENTS: ARTICLE VII The By -Laws may be amended by a two-thirds vote of members present and voting at any regular or special meeting, provided. notice of such proposed amendment has been given at a previous regular meeting. PROCEDURE: At all times, the procedure during Club meetings and functions shall be governed by Robert's Riles of Order. ARTICLE VIII
