HELD MONDAY, FEBRUARY 3, 2003

ROLL CALL
Mayor Eissey called the meeting to order at 6:00 p.m. All members of Council were
present. All members of staff were present.
The purpose of the Special Workshop was to take action on the conditional resignation
and severance package submitted by Village Manager Dennis W. Kelly in his letter dated
January 31, 2002.
President Pro Tem Tringali moved to approve the Village Manager's resignation and
requested severance package. Vice Mayor Noel seconded the motion.
During discussion, Mr. Kelly's proposal regarding consultation services was deleted in its
entirety.
Village Attorney George Baldwin restated the motion as discussed and agreed upon by
the Council during discussion, as follows: acceptance of the letter dated January 31,
2002, with the deletion of the entire paragraph that would provide for consultation. In
addition, the Village Manager will receive unused vacation time and unused sick leave
reimbursement in accordance with the Village's Personnel Rules and Regulations, as per
the amendment memorandum handed out at this meeting and dated February 3, 2003.
Further, as detailed in the other handout entitled "Dennis Kelly Compensation
Calculation", the Council approved Items 1, 2, and 3 for the Salary, Group Health and
Pension benefits as shown, but deleted Items 4 and 5, the categories and amounts set
forth for Life Insurance and LTD.
Mr. Kelly withdrew the term "conditional" from his resignation, based on the motion as
restated by Mr. Baldwin.

Minutes of Regular Session
Held Monday, February 3, 2003
• Mr. Baldwin asked Mr. Kelly if the compensation package as just stated would constitute
all obligations, financial or otherwise, that the Village of North Palm Beach would owe to
him through the time of termination. Mr. Kelly agreed.
Mr. Baldwin further asked Mr. Kelly if he would sign a General Release to the Village
and the Village Council members, with the only exception being items set forth in the
motion. Mr. Kelly agreed.
Thereafter, the motion passed 3-2, with President Pro Tem Tringali, Vice Mayor Noel
and Mayor Eissey voting aye, and Councilman O'Meilia and Councilman Norris voting
nay.
Mayor Eissey announced that the Village Manager's final day would be Friday, February
7, 2003 at 12 noon.
ADJOURNMENT
With no further business to come before the Council, the meeting adjourned at 6:58 p.m.
A meeting was set for Thursday, February 6, 2003 at 5:00 p.m. in the Herb Watt building
for the purpose of appointing an Acting Village Manager.
